Mandatum Holding Ltd merges into Mandatum plc

Mandatum plc, Stock exchange release, 11 December 2023 at 1:05 p.m. EET

Mandatum plc has decided to merge its wholly-owned subsidiary Mandatum Holding
Ltd into Mandatum plc as a subsidiary merger in accordance with the Finnish
Companies Act. No consideration will be paid in the merger. The background to
the merger is Mandatum's separation from Sampo plc in a partial demerger and its
purpose is to simplify Mandatum's Group structure. The merger has no impact on
Mandatum Group's business operations.

The Boards of Directors of Mandatum plc and Mandatum Holding Ltd have approved
the merger on 11 December 2023. The effective date of the merger is expected to
be 30 April 2024. The completion of the merger is subject to the approval of the
Luxembourg Financial Supervisory Authority (CSSF).
