NOTICE OF POSTAL BALLOT

NOTICE is hereby given for obtaining the consent or the Members through Postal Ballot for the following proposals as Special Business by way of special resolutions, (1) approval for Reappointment or LL Col (Reid.) Chatapuram Swamlnathan Shankar (DIN: 08397818), as an Independent Director of the Company for the Second term and (2) approval for Reappointment or Dr. N. Sundaradevan. IAS (Retd) (DtN: 00223399). as an Independent Director of the Company for the second term. Pursuant to Section 110 of the Companies Act, 2013 ("the Act·), read with Rutes 20 & 22 of the Companies (Management and Administration) Rules, 2014 (the Rules) the said No�ce has been sent on 16" April 2024 to all the shareholders whose names appear on the Register of Members/ List of Beneficial Owners as received from National Securities Depository umited (NSDL) / Cenlral Depository Services (India) L,miled (CDSL) as at the dose of business hours on Friday, the 12"' Aprll 2024 (Cut-off date) and who have registered their email Id with the Company/ Depositories. 11 may be noted that In aocordance with the relaxation granted by the Ministry of Corporate Affairs vlde Circular 09/2023 dated 25" September 2023, the said Notice has be n sent only in electronic form. The postal ballot facility through e-Voting Is being provided to the Members in accordance with the provisions or Sections 108 and 110 of the Companies Act. 2013 read with Rules 20 and 22 of the Companies (Management and Administration) Rules. 2014 and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations. 2015, read with the relevant Circulars. The Company has engaged the services of COSL to provide the e-Voting facilities. enabling the Members to cast their votes electronically in a secure manner. Detailed guidance for participating in the e-Voting has been provided in lhe Notiee. The a-Voting will commence on Wednesday, the 17" April 2024 (9.00 A.M.) and end on Thursday. the 16• May 2024 (5.00 P.M.). The e-Vobng module shall be disabled thereafter and not available for voling.

Members who have not received the Notice may download the same from the website of the Company or may request for an electronic copy of the same by writing to the Registrars and Share Transfer Agent (RTA), Cameo Corporate Services Limited, Subtamanian Building, 1, Club House Road, Chennal. 600 002, Email: investor@cameoindia.com.

Subject to the restrictions under the Act and the other applicable Regulations, persons who are entered as Members In the Register of Members or In the Register or Beneficial Owners by the Depositories as on the Cut-off date alone shall be entitled to exercise the voting rights.

The results of the voting would be declared as stipulated under the relevant Rules, informed to the Stock Exchanges and will also be posted on the Websites of the Company and CDSL.
