Directors Shareholding

This notification is made in accordance with DTR 3.1.4(1)(a) and DTR 3.1.4(1)(b).

On 7 March 2013, the following awards were made to executive directors of Management Consulting Group PLC (the "Company") under the Management Consulting Group 2008 Performance Share Plan:

(i)         Nicholas Stagg received an award over 1,403,000 ordinary shares of 1 penny each in the Company ("Shares") structured as an option with a nil exercise price. 

(ii)         Christopher Povey received an award over 877,000 Shares structured as an option with a nil exercise price. 

(iii)        Luiz Carvalho received an award over 1,403,000 Shares structured as a conditional award.

(iv)        Chiheb Mahjoub received an award over 1,403,000 Shares structured as an option with a nil exercise price.

No consideration was paid for the grant of the awards.

The vesting of the awards is subject to the satisfaction of a performance condition set by the Remuneration Committee of the Company.  The award will normally vest on the later of the third anniversary of grant and the determination of the performance condition. 

The Company was informed of the above transaction on 7 March 2013.
