This notification relates to transactions to be notified in accordance with DTR 3.1.4R (1) (a)

Grant of Share Awards

On 13th March 2014, the following share awards were granted to directors of Man Group plc under the Man Group 2013 Deferred Executive Incentive Plan in respect of their long-term deferred bonus for the financial year ended 31 December 2013:

Emmanuel Roman, Chief Executive Officer

Conditional award over 350,249 ordinary shares vesting in three equal tranches three to five years from grant date.

Jonathan Sorrell, Chief Financial Officer

Conditional award over 218,906 ordinary shares vesting in three equal tranches three to five years from grant date.

Share Transactions

On 13th March 2014, Jonathan Sorrell:

1.            Exercised at nil consideration a share award over 92,598 ordinary shares of 3 3/7 US cents

each granted in March 2012 under the Man Group Deferred Share Plan; and

2.            Disposed of 43,617 ordinary shares at a price of 104.834 pence per share sold to cover the

related income tax liability.

The Company was advised of the above share award grants and transactions on the same day.
