ACQUISITION OF NUMERIC HOLDINGS LLC

Result of General Meeting

Man Group plc ("Man") announces that the resolution proposed at its General Meeting held earlier today to approve the proposed acquisition of Numeric Holdings LLC was duly passed by the requisite majority.

Voting on the resolution was conducted by poll and the votes cast are detailed below:

As at 3 September 2014, the voting record date, Man's issued ordinary share capital was 1,756,241,351.

The full text of the resolution is contained in the Notice of General Meeting set out in the circular dated 7 August 2014 (the "Circular") which is available on Man's website at www.man.com. In accordance with paragraph 9.6.2 of the Listing Rules, a copy of the resolution passed at the General Meeting will shortly be submitted to the National Storage Mechanism and will be available for inspection at www.morningstar.co.uk/uk/nsm.
