Milano, 26 marzo 2020 – Con riferimento all'Assemblea ordinaria degli azionisti di Maire Tecnimont S.p.A. (la "Società") convocata per il giorno 16 aprile 2020, in prima convocazione, e occorrendo per il giorno 17 aprile 2020, in seconda convocazione, la Società informa che sono a disposizione del pubblico sul sito internet www.mairetecnimont.com alla pagina https://www.mairetecnimont.com/it/governance/documentiassemblea-azionisti/assemblea-ordinaria-degli-azionisti-16-aprile-2020, nonché sul meccanismo di stoccaggio autorizzato ():

• I. la Relazione Finanziaria Annuale, comprendente il progetto di bilancio di esercizio di Maire Tecnimont S.p.A. al 31 dicembre 2019, il bilancio consolidato del Gruppo Maire Tecnimont al 31 dicembre 2019, la relazione sulla gestione e l'attestazione di cui all'art. 154-bis, comma 5, del D. Lgs. 58/1998 nonché le relazioni del Revisore Incaricato e del Collegio Sindacale;
• II. la "Relazione sul Governo Societario e gli Assetti Proprietari 2019" ex articolo 123-bis del D.Lgs. 58/98;
• III. la "Relazione sulla Politica in materia di Remunerazione 2020 e sui compensi corrisposti" ex articolo 123-ter del D.Lgs. 58/98 e 84 quater del Regolamento Emittenti Consob.

La Società informa inoltre che il "Bilancio di Sostenibilità 2019" contenente la Dichiarazione consolidata di carattere non finanziario al 31 dicembre 2019, unitamente all'attestazione di conformità rilasciata dal Revisore Designato, è a disposizione del pubblico sul sito internet www.mairetecnimont.com alla pagina https://www.mairetecnimont.com/it/investitori/risultati-epresentazioni/bilanci-sostenibilita, nonché sul meccanismo di stoccaggio autorizzato ().

Almeno 15 giorni prima della data dell'Assemblea in prima convocazione, ossia, nel caso di specie, entro il 1 aprile 2020, la documentazione di cui all'art. 77, comma 2-bis, del Regolamento Emittenti Consob e dell'art. 15, comma 1, lett. a) del Regolamento Mercati adottato con delibera Consob n. 20249/2017, sarà messa a disposizione del pubblico presso la sede legale in Roma e la sede operativa in Milano, consultabile previo appuntamento da fissare tramite invio di apposita richiesta al seguente indirizzo di posta elettronica certificata: corporatesecretary@pec.mairetecnimont.it.

FILING OF DOCUMENTATION PRIOR TO THE SHAREHOLDERS' MEETING

Milan, 26 March 2020 – With reference to the ordinary Shareholders' Meeting of Maire Tecnimont S.p.A. (the "Company") convened for 16 April 2020, on first call, and if necessary, for 17 April 2020, on second call, the Company announces that the following documentation is available to the public on the website www.mairetecnimont.com at the page https://www.mairetecnimont.com/en/governance/shareholdersmeeting-documents/ordinary-shareholders-meeting-16-april-2020 and on the authorized storage device ():

• I. the Annual Financial Report, which includes the Draft Financial Statements as at 31 December 2019, the Consolidated Financial Statements of Maire Tecnimont Group as at 31 December 2019, the Report on operations, the certification as set out by art. 154 bis, paragraph 5 of Italian Legislative Decree 58/1998 as well as the Appointed Auditor's Reports and the Board of Statutory Auditors' Report;
• II. the "Report on Corporate Governance and Ownership Structure 2019" pursuant to art. 123-bis of Legislative Decree 58/1998;
• III. the "Report on the 2020 Remuneration Policy and fees paid" pursuant to art. 123-bis of Legislative Decree 58/1998 and 84 quarter of Consob Issuers' Regulations.

The Company also announces that the "2019 Sustainability Report", including the Non-Financial Statements as at 31 December 2019, together with the certification of conformity issued by the Designated Auditor, is available to the public on the website www.mairetecnimont.com at the page https://www.mairetecnimont.com/en/investors/results-andpresentations/sustainability-reports, and on the authorized storage device ().

At least 15 days before the date of the Shareholders' Meeting at first call, i.e., in the case in point, by 1 April 2020, the documentation pursuant to art. 77, paragraph 2-bis, of Consob Issuers' Regulations and art. 15, paragraph 1, letter a) of Regulation on Markets adopted with Consob resolution no. 20249/2017, will be made available to the public at the registered office in Rome and at the operative office in Milan, and may be accessed by appointment to be fixed by sending a special request to the following certified e-mail address: corporatesecretary@pec.mairetecnimont.it.
