Notification of change in shareholding of the Company

QUOTE

The Board of Directors of the Company hereby announces that on 8 October 2024, the Company was notified that two of its shareholders, Gasan Enterprises Limited (C 467) ("GEL") and Marea Investments Limited (C 44997) ("MIL") transferred their shareholding in the Company to Embassy Limited (C 20568) ("Embassy").

Pursuant to the said transfers of shares, each of GEL and MIL transferred their respective holdings in the Company of 950,001 ordinary shares of a nominal value of €0.10 per share, each representing 4.90% of the issued share capital of the Company, to Embassy (the "Share Transfers"). Prior to the Share Transfers, Embassy was already the largest shareholder of the Company, holding 6,615,388 ordinary shares of a nominal value of €0.10 per share representing 34.13% of issued share capital of the Company.

As a result of the Share Transfers, Embassy, which is ultimately owned and controlled by the shareholders of GEL and MIL, has increased its shareholding in the Company to 8,515,390 ordinary shares of a nominal value of €0.10 per share, representing 43.93% of the issued share capital of the Company, and GEL and MIL shall cease to hold shares in the Company.
