Approval of audited financial statements

Further to the company announcement dated 17 April, 2024 (MS49) it is hereby announced that the Board of Directors of Main Street Complex p.l.c. (the "Company") has approved the audited financial statements of the Company for the financial year ended 31 December, 2023. A copy of the said audited financial statements can be viewed on the Company's web portal: www.mainstreetcomplex.com/investor-relations. Attached to this company announcement is a Directors' Declaration on ESEF Annual Financial Reports.

Recommendation of final dividend

The Board of Directors also resolved to recommend to shareholders the payment of a final net dividend of €214,000 or €0.011 per share (having a nominal value of €0.10 per share). If approved by the shareholders of the Company at the forthcoming Annual General Meeting scheduled to be held on 28 May, 2024, such dividend will be paid to the shareholders of the Company appearing on the Company's register of members maintained at the Central Securities Depository of the Malta Stock Exchange as at close of business on 31 May, 2024. Payment will be effected as soon as possible following such date.

DIRECTORS' DECLARATION ON ESEF ANNUAL FINANCIAL REPORT

We, Mr Joseph A. Gasan and Mr Ettenne Borg Cardona, in our capacity as Directors of Main Street Complex p.l.c. - C34767, hereby certify:

i. That the Annual Financial Report for the year ended 31 December 2023 has been approved by the Board of Directors of the Company and is hereby being made available to the public.

ii. That the Annual Financial Report has been prepared in terms of the applicable rules and regulations, including the Commission Delegated Regulation on the European Single Electronic Format ("ESEF") and the Capital Markets Rules.

iii. That the Audit Report on the ESEF Annual Financial Report is an exact copy of the original signed by the auditor and that no alterations have been made to the audited elements of the Annual Financial Report including the annual financial statements.

iv. That the Annual Financial Report shall serve as the official document for the purposes of the Capital Markets Rules and, where the issuer is registered in Malta, the Companies Act (Chapter 386 of the Laws of Malta).
