Sub.: Appointment of Managing Director & Chief Executive Officer

As intimated on 7[th] February, 2020, Ms. Sangeeta Prasad had expressed her desire to resign from her position as Managing Director & CEO and as a Director of the Company to pursue other interests. At the request of the Board of Directors she had graciously agreed to continue till 30[th] June, 2020.

Pursuant to the provisions of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirement) Regulations, 2015 [“SEBI LODR”], we wish to inform you that the Board of Directors at its meeting held today, 14[th] May, 2020, inter-alia, has, subject to the approval of the Shareholders, approved appointment of Mr. Arvind Subramanian, Chief Operating Officer of the Company, as an Additional Director effective 1[st] July, 2020 and as the Managing Director & CEO of the Company for a term of five years effective from 1[st] July, 2020 and ending on 30[th] June, 2025.

The relevant details pertaining to appointment of Mr. Arvind Subramanian pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI circular no. CIR/CFD/CMD/4/2015 dated 9[th] September, 2015 is enclosed as Annexure A.

Further, as per BSE and NSE circular dated 20[th] June, 2018, it is affirmed that Mr. Arvind Subramanian who is appointed as an Additional Director effective 1[st] July, 2020 and as the Managing Director & CEO for a term of five years effective from 1[st] July, 2020 and ending on 30[th] June, 2025 is not debarred from holding the office of director by virtue of any SEBI order or any other such authority.

Brief profile Mr. Arvind Subramanian has been serving as Chief
Executive Officer of Mahindra Happinest since September
2018 and as Chief Operating Officer of Mahindra
Lifespaces since February 2020.
Mr. Arvind Subramanian’s interest in the intersection
between business growth and social impact dates to his
time as a Partner & Director at Boston Consulting Group
(BCG). At BCG, Arvind was the global topic leader for the
‘Next Billion Consumers’, picked by Financial Times as one
of The Fifty Ideas That Shaped Business Today. He was
also tasked with setting up and leading BCG’s Centre for
Customer Insight. Arvind led the Technology Media and
Telecom practice at BCG in India for several years. He has
been a frequent speaker at industry events and
conferences, has authored several op-eds, articles and
reports on ‘Digital India’, the ‘Next Billion Consumers’ and
‘Future of Real Estate’.
Mr. Arvind Subramanian started his professional career with
the Tata Administrative Service, the central management
cadre of the Tata Group. He was Regional CEO at a
leading real estate developer prior to joining the Mahindra
Group. He holds an MBA from the Indian Institute of
Management, Ahmedabad and a B.Tech. from the Indian
Institute of Technology, Madras.
Disclosure of relationships between Mr. Arvind Subramanian is not related to any directors of
Directors the Company.
