NOTICE OF POSTAL BALLOT

NOTICE IS HEREBY GIVEN THAT pursuant to the provisions of Section 108 and 110 and other applicable provisions of the ~ornpanies Act, 2013, as amended, read with Companies (Management and Administration) Rules, 2014 and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company has completed the dispatch of Postal Ballot Notice along with Postal Ballot Form on Saturday, 8 February 2020 to all the Members whos~ names appeared as members I beneficial owners in the Company's Register of Members/ List of Beneficial Owners as on Friday, 31 January 2020, for seeking the approval of members by Postal Ballot, which includes voting by electronic means.

Postal Ballot Notice along with its enclosures have been sent to all the members by e-mail, whose e-mail IDs are registered with the Company or made available by their Depository Participants. In case-_of-shareholders whose e-mail IDs are not registered, physical copies of Postal Ballot Notice and its enclosures as also self-addressed Business Reply Envelope have been dispatched by ''permitted mode of dispatch. Members who have not received the Postal Ballot Notice and Postal Ballot Form may download the same from the website of the Company viz. www.mahascooters.com or obtain duplicate copies thereof from KFin Technologies P. Ltd., Hyderabad, Share Transfer Agent of the Corri_pany. ·

All documents referred to in the Postal Ballot Notice and Explanatory Statement are open for inspection at the Registered Office of the Company on all working days, between 10.00 a.m. and 1.00 p.m. from the date of dispatch of Notice till 10 March 2020. Once the vote on the Resolution is cast, the member shall not be allowed to change it subsequently. Further, the Postal Ballot Forms received after the closure of aforesaid voting .period will be treated as invalid and voting whether by post or e-voting shall not be allowed beyond the closure date. A person who is not a member on 31 January 2020 shall treat this notice for information purpose only. The detailed instructions and information relating to voting are set out in the Postal Ballot Notice sent to the members. . 1

The Company has appointed Shri Shyamf>rasad D. Limaye, a Practicing Company Secretary (CP 572) as the Scrutinizer for conducting the Postal Ballot process and e-voting in a fair and transparent manner. The results of voting will be announced within 48 hours from the date of receipt of Scrutinizer's Report and the results would be displayed on the website of the Company and communicated to the Stock Exchanges.

पोस्टाद्वारे मतपत्रिकेची सूचना

ह्याद्वारे सूचित करण्यात येत आहे की कंपनी कायदा २०१३ मधील कलम १०८ व ११० व इतर तरतूद्दीनुसार, तसेच सहवाचित कंपनी नियम (व्यवस्थापन व प्रशासन) २०१४ आणि सेबीच्या ४४ कलमांतर्गत (नोंदणी जबाबदारी व प्रकटीकरण आवश्यकता) कायदा २०१५, या अनुसार, असे समासद ज्यांची नावे, शुक्रवार दि. ३१ जानेवारी २०२० रोजी असलेलेल्या समासदांच्या रजिस्टरमध्ये / लामधारक मालकांच्या रजिस्टरमध्ये समाविष्ट आहेत, अशा सर्व सभासदांना, त्यांच्या मान्यतेकरिता पोस्टल मतदान पत्रिका पाठवण्याचे काम शनिवार दि. ८ फेब्रुवारी २०२० रोजी पूर्ण करण्यात आलेले आहे.

पोस्टल मतदान पत्रिका व त्या बरोबरची संलग्न कागदपत्रे अशा सभासदांना पाठवण्यात आलेली आहे ज्यांचे इमेल आयडी कंपनीकडे अंथवा डिपॉझिटरी पार्टीसिपन्टसकडे नोंदवण्यात आले आहेत. ज्या सभासदांचे इमेल आयडी नोंदवण्यात आलेले नाहीत, अशा सभासदांना पोस्टल मतदान पत्रिका व इतर संलग्न कागदपत्रे यांची प्रत्यक्ष प्रत. पोस्टाचे शल्क भरलेल्या बिझनेस रिप्लाय पाकिटासहित पाठवण्यात आले आहे. ज्या सभासदांना सदरील पोस्टल मतदान पत्रिका फॉर्मस मिळालेले नाहीत त्यांचेसाठी कंपनीची वेबसाईटwww.mahascooters.com वरुन हा फॉर्म डाउनलोड करता येईल, किंवा डुप्लिकेट प्रत कंपनीचे शेअर ट्रान्सफर एजन्ट केफिन टेक्नॉलॉजीज् प्रा. लि. हैदराबाद, यांचेकडे उपलब्ध असेल.

पोस्टल मतदानाची सूचना व इतर सर्व संबंधित कागदपत्रे तपासणीकरिता, कंपनीच्या नोंदणीकृत कार्यालयात, सर्व कामकाजांच्या दिवशी सं. १० ते दुपारी १२.३० या वेळात सूचना पाठवलेल्या दिवसापासून १० मार्च २०२० पर्यंत उपलब्ध आहेत. एकदा मतदान केल्यानंतर सभासदांना त्यामध्ये बदल करता येणार नाही. तसेच अंतिम दिनांकानंतर मिळालेल्या पोस्टल मतदानपत्रिका अथवा इ-मतदान ग्राह्म धरण्यात येणार नाही. अशा व्यक्ती ज्या दि. ३१ जानेवारी २०२० रोजी सभासद नाहीत त्यांचेसाठी ही सूचना फक्त माहिती म्हणून समजण्यात यावी. मतदानाविषयक सविरतर सूचना व माहिती पोस्टल मतदानाच्या सूचनेबरोबर देण्यात आलेली आहे.

कंपनीने पोस्टल मतदानाची प्रक्रिया आणि इ-मतदान प्रक्रियां योग्य आणि पारदर्शक पद्धतीने व्हावी यासाठी श्री. श्यामप्रसाद डी लिमये (प्रॅक्टिसिंग कंपनी सेक्रेटरी CP 572) यांची तपासनीस (स्कटिनायंझर) म्हणून नियुक्ती केली आहे. तपासनीसांचा अहवाल मिळाल्यानंतर ४८ तासात मतदानाचे निकाल जाहीर करण्यात येतील, तसैच कंपनीच्या वेबसाईटवर उपलब्ध केले जातील आणि स्टॉक एक्स्चेंजेसनाही कळविण्यात येतील.

पोस्टल मतदान प्रक्रिया व इलेक्ट्रॉनिक मतदान प्रक्रियेविषयी कोणत्याही तक्रारी असल्यास त्या खालील दिलेल्या पत्त्यांवर पाठवण्यात याव्यात.
