NOTICE OF POST AL BALLOT

NOTICE IS HEREBY GIVEN THAT pursuant to the provisions of Section 108 and 110 and other applicable provisions of the Companies Act, 2013, as amended, read with Companies (Management and Administration) Rules, 2014 and Regulation 44 of SEBI (Listing Obligations and Discloser Requirements) Regulations, 2015, the Company has completed the dispatch of Postal Ballot Notice along with Postal Ballot Form on Wednesday, 17 July 2019 to all the Members whose names appeared as members / beneficial owners in the Company's Register of Members/ List of Beneficial Owners as on the cut-off date i.e. Friday, 12 July 2019, for seeking the approval of members.by Postal Ballot, which includes voting by electronic means.

Postal Ballot Notice along with its enclosures have been sent to all the members by e-mail, whose e-mail IDs are registered with the Company or made available by their Depository ·Participants. In case of shareholders whose e-mail IDs are not registered, physical cqpies of Postal Ballot Notice and its enclosures as also self-addressed Business Reply Envelope have been dispatched by permitted mode of dispatch. Members who have not received the Postal Ballot Notice and Postal Ballot Form may download the same from the website of the Company viz. www.mahascooters.com or obtain duplicate copies thereof from Karvy Fintech P. Ltd., Hyderabad, Share Transfer Agent of the Company.

All documents referred to in the Postal Ballot Notice and Explanatory Statement are open for inspection atthe Registered Office of the Company on all working days, between 10.00 a.m. and 1.00 p.m. from the date of dispatch of Notice till 16 August 2019. Once the vote on the Resolutions is cast, the member shall not be allowed to change it subsequently. Further, the Postal Ballot Forms received after. the closure of aforesaid voting period will be treated as invalid and voting, whether by post ore-voting shall, not be allowed beyond the closure date. A person who is not a member on the cut-off date of 12 July 2019 shall treat this notice for information purpose only. The detailed instructions and information relating to voting are set out in the Postal Ballot Notice sent to the members.

The Company has appointed Shri Shyamprasad D. Limaye, a Practicing Company Secretary (GP 572) as the Scrutinizer for conducting the Postal Ballot process and e-voting in a fair and transparent manner. The results of voting will be announced within 48 hours from the date of receipt of Scrutinizer's Report and the results would be displayed on the website of the Company and communicated to the Stock Exchanges.

पोस्टाद्वारे मतपत्रिकेची सूचना

ह्याद्वारे सूचित करण्यात येत आहे की कंपनी कायदा २०१३ मधील कलम १०८ व ११० व इतर तरतूर्दीनुसार, तसेच सहवाचित कंपनी नियम (व्यवस्थापन व प्रशासन) २०१४ आणि सेबीच्या ४४ कलमांतर्गत (नोंदणी जबाबदारी व प्रकटीकरण आवश्यकता) कायदा २०१५, या अनुसार, असे सभासद ज्यांची नावे, शुक्रवार दि. १२ जुलै २०१९ रोजी असलेलेल्या सभासदांच्या रजिस्टरमध्ये / लाभधारक मालकांच्या रजिस्टरमध्ये समाविष्ट आहेत, अशा सर्व सभासदांना, त्यांच्या मान्यतेकरिता पोस्टल मतदान पत्रिका पाठवण्याचे काम बुधवार दि. १७ जलै २०१९ रोजी पूर्ण करण्यात आलेले आहे.

पोस्टल मतदान पत्रिका व त्या बरोबरची संलग्न कागदपत्रे अशा सभासदांना पाठवण्यात आलेली आहे ज्यांचे इमेल आयडी कंपनीकडे अथवा डिपॉझिटरी पार्टीसिपन्टसकडे नोंदवण्यात आले आहेत. ज्या सभासदांचे इमेल आयडी नोंदवण्यात आलेले नाहीत, अशा सभासदांना पोस्टल मतदान पत्रिका व इतर संलग्न कागदपत्रे यांची प्रत्यक्ष प्रत, पोस्टाचे शुल्क भरलेल्या बिझनेस रिप्लाय पाकिटासहित पाठवण्यात आले आहे.ज्या सभासदांना सदरील पोस्टल मतदान पत्रिका फॉर्मस् मिळालेले नाहीत त्यांचेसाठी कंपनीची वेबसाईट www.mahascooters.com वरून हा फॉर्म डाउनलोड करता येईल, किंवा डुप्लिकेट प्रत कंपनीचे शेअर ट्रान्सफर एजन्ट कार्वी फिनटेक प्रा. लि. हैदराबाद, यांचेकडे उपलब्ध असेल.

पोस्टल मतदानाची सचना व डतर सर्व संबंधित कागदपत्रे तपासणीकरिता. कंपनीच्या नोंदणीकत कार्यालयात. सर्व कामकाजांच्या दिवशी स. १० ते दुपारी १ या वेळात सूचना पाठवलेल्या दिवसापासून १६ ऑगस्ट २०१९ पर्यंत उपलब्ध आहेत. एकदा मंतदान केल्यानंतर सभासदांना त्यामध्ये बदल करता येणार नाही. तसेच अंतिम दिनांकानंतर मिळालेल्या पोस्टल मतदानपत्रिका अथवा इ-मतदान ग्राह्य धरण्यात येणार नाही. अशा व्यक्ती ज्या दि. १२ जुलै २०१९ रोजी सभासद नाहीत त्यांचेसाठी ही सूचना फक्त माहिती म्हणून समजण्यात यावी. मतदानाविषयक सविस्तर सूचना व माहिती पोस्टल मतदानाच्या सूचनेबरोबर देण्यात आलेली आहे.

कंपनीने पोस्टल मतदानाची प्रक्रिया आणि इ-मतदान प्रक्रिया योग्य आणि पारदर्शक पद्धतीने व्हावी यासाठी श्री. श्यामप्रसाद डी लिमये (प्रॅक्टिसिंग कंपनी सेक्रेटरी CP 572) यांची तपासनीस (स्क्रूटिनायझर) म्हणून नियुक्ती केली आहे. तपासनीसांचा अहवाल मिळाल्यानंतर ४८ तासात मतदानाचे निकाल जाहीर करण्यात येतील, तसेच कंपनीच्या वेबसाईटवर उपलब्ध केले जातील आणि स्टॉक एक्स्चेंजेसनाही कळविण्यात येतील.

पोस्टल मतदान प्रक्रिया व इलेक्ट्रॉनिक मतदान प्रक्रियेविषयी कोणत्याही तक्रारी असल्यास त्या खालील दिलेल्या पत्त्यांवर पाठवण्यात याव्यात.
