Magontec Limited (Company) – Conversion of Residual Convertible Loan Note Number 2 by Straits Mine Management Pty Limited (SMM)

Convertible Loan Note Number 2 issued to SMM on 29 November 2012 had a face value of $3,500,000. On 5 December 2013 the note was partially discharged leaving a residual amount outstanding of $1,004,085 (not $$1,001,526 as had been stated in the Company’s announcement dated 5 December 2013).

SMM has agreed to convert to ordinary shares, the residual amount owing under CLN No.2 simultaneous with the final conversion of the Company’s listed options. The conversion price is at $0.05 per share. The terms of issue of CLN No.2 provide for compensation for dilution as a result of new shares being issued since 4 January 2013 (other than shares issued to SMM).

As a result of operation of the dilution clause the ordinary shares issued upon discharge of the residual debt are 21,032,819 as per the Appendix 3B attached.
