Item 8.01 Other Events.

P. H. Glatfelter Company issued a press release today announcing it entered into a definitive agreement to purchase all of the outstanding equity of Spezialpapierfabrik Oberschmitten GmbH (SPO) from FINSPO Beteiligungs-GmbH for €8.5 million (approximately U.S.$11 million). SPO has annual sales of approximately €25 million (U.S.$33 million). The proposed transaction is expected to close by early October. A copy of the press release is filed herewith as Exhibit 99.1 and incorporated by reference herein.
