MAGIS S.p.A.: AVVISO DI CONVERSIONE AUTOMATICA DI N. 12.000 AZIONI SPECIALI MAGIS S.P.A.

Cerreto Guidi (FI), 31 gennaio 2023 - Magis S.p.A. ("Magis" o la "Società"), società leader nella produzione di nastri adesivi personalizzati e sistemi di chiusura per pannolini monouso e prodotti per l'incontinenza adulta, rende noto che in data odierna è stata completata, ai sensi dell'art. 6.5, lettera (c), (A) dello Statuto della Società (i.e. il prezzo ufficiale delle Azioni Ordinarie negoziate sull'Euronext Growth Milan è risultato maggiore o uguale a Euro 12,00 per almeno 15 giorni su 30 di borsa aperta consecutivi), la conversione automatica di n. 12.000 Azioni Speciali di Magis, di titolarità di IPOC 6 S.r.l., (pari al 25% delle originarie n. 48.000 Azioni Speciali emesse dalla Società) in n. 84.000 Azioni Ordinarie di nuova emissione, senza modifica alcuna del capitale sociale.

Per effetto di quanto precede, il capitale sociale di Magis - pari ad Euro 8.448.000,00 - sarà suddiviso in n. 5.322.419 azioni, di cui n. 4.110.419 Azioni Ordinarie, n. 12.000 Azioni Speciali e n. 1.200.000 Price Adjustment Share, tutte prive di indicazione del valore nominale.

Lo Statuto aggiornato della Società è in corso di deposito presso il competente Registro delle Imprese.

MAGIS S.P.A.: NOTICE OF AUTOMATIC CONVERSION OF 12,000 SPECIAL SHARES OF MAGIS S.PA.

Cerreto Guidi (FI), 31st January 2023 - Magis S.p.A., leading manufacturer of customised adhesive tapes and fastening systems for disposable nappies and adult incontinence products, announces that today, pursuant to article 6.5, letter (c), (A) of the Company's By-laws (i.e. the official price of Ordinary Shares traded on Euronext Growth Milan has been equal or higher to Euro 12.00 for at least 15 days out of 30 consecutive opening trade days), the automatic conversion of 12,000 Special Shares of Magis, owned by IPOC 6 S.r.l, (equal to 25% of the original no. 48,000 Special Shares issued by the Company) into no. 84,000 newly issued Ordinary Shares, without any change in the share capital.

As an effect of the above, the share capital of Magis - amounting to Euro 8,448,000.00 - will be divided into no. 5,322,419 shares, of which no. 4,110,419 Ordinary Shares, no. 12,000 Special Shares and no. 1,200,000 Price Adjustment Shares, all with no indication of nominal value.

The Company's updated Articles of Association are currently being filed with the competent Company Registry.
