MODALITÀ E RAPPORTO DI ESERCIZIO DEI WARRANT MAGIS
Cerreto Guidi (FI), 3 giugno 2025 - Magis S.p.A. ("Magis" o la "Società"), società leader nella produzione di nastri adesivi personalizzati e sistemi di chiusura per il body care per infanzia e adulti, rende noto che durante il mese di maggio risultano pervenute richieste di esercizio di n. 1.180.466 "Warrant Magis S.p.A." (i "Warrant"). Di conseguenza, la Società ha provveduto ad emettere n. 339.854 azioni ordinarie, per un controvalore complessivo di Euro 33.985,40 secondo le modalità previste dal regolamento dei Warrant. Residuano dunque n. 211.574 Warrant in circolazione.
La Società ricorda che, come comunicato lo scorso 2 maggio, essendosi verificata la Condizione di Accelerazione, i Warrant sono esercitabili, pena decadenza, entro il 3 luglio 2025 (il "Termine di Decadenza", in ragione del Rapporto di Esercizio pari a 0,2987.
Le richieste di esercizio dei Warrant dovranno essere presentate all'intermediario aderente a Monte Titoli presso cui i warrant sono depositati, entro e non oltre il Termine di Decadenza.
Si ricorda che, ai sensi del regolamento dei Warrant, i Warrant non esercitati entro il Termine di Decadenza decadranno da ogni diritto divenendo privi di validità ad ogni effetto.

PROCEDURE AND EXERCISE RATIO OF MAGIS WARRANTS
Cerreto Guidi (FI), 3 June 2025 - Magis S.p.A. ("Magis" or the "Company"), leading manufacturer of customised adhesive tapes and fastening systems for adults and infancy body care, announces that, during the month of May, it received request to exercise no. 1,180,466 "Magis S.p.A. Warrants" ( the "Warrants"). As such, the Company proceeded to issue no. 339,854 ordinary shares, for a total value of Euro 33,985.40, according to the Terms & Conditions of the Warrants. Therefore no. 211,574 Warrants remain outstanding
The Company reminds that, as communicated on 2 May 2025, having occurred the Acceleration Condition, the Warrants are exercisable by no later than 3 July 2025 (the "Forfeiture Deadline"), on the basis of the Exercise Ratio equal to 0.2879.
Any request to exercise the Warrants must be submitted to the depositary, member of the centralized clearing Monte Titoli S.p.A., where the Warrants are deposited, by no later than the Forfeiture Deadline.
Please note that, according to the Terms & Conditions of the Warrants, Warrants not exercised within the Forfeiture Date will forfeit all rights and become invalid for all purposes.
