EXECUTION OF ENERTEC ACQUISITION AGREEMENT

Further to an announcement on 13 July 2007 foreshadowing a proposed Agreement for Brainytoys Ltd (“BRT”) to acquire the whole of the share capital of Enertec Enterprises Ltd (“Enertec”), the Directors of BRT are pleased to advise that the Agreement has now been executed.

The Agreement is subject to the approval of shareholders in a General Meeting. Accordingly, further details pertaining to the proposed acquisition of Enertec will be provided in a Notice of Meeting document to be despatched to shareholders within the next two weeks.
