PRO-RATA NON-RENOUNCEABLE OPTIONS ISSUE PROSPECTUS

Brainytoys Limited (“BRT”) is pleased to announce an Option Issue.

The Issue will be a pro rata non-renounceable entitlement issue of three (3) Options for every five (5) Ordinary shares held by Shareholders of BRT as at 5.00pm WST on 1 April 2008 , at an Issue Price of $0.01 per Option to raise a total of $748,627 before costs. The Issue will be 50% underwritten by RM Capital Pty Ltd.

The timetable of the option issue is as follows

Lodgement of Prospectus with the ASIC	19 March 2008*
“Ex” Date	26 March 2008*
Record Date	1April 2008*
Opening Date and Prospectus dispatch	4 April 2008*
Closing Date for acceptances	18 April 2008*
Securities quoted on a deferred settlement basis	21 April 2008
Statements for Options dispatched (anticipated)	24 April 2008*
and deferred settlement trading ends

• These dates are determined based upon the current expectations of the Directors and may be changed without notice.

Capital raised pursuant to this Issue will be applied toward the purchase of the business and assets of Marshmallow Fun Company, LLC, and as such, additional working capital and will not affect existing budgets and work programs.
