CHAIRMAN’S AGM ADDRESS RELATING TO 2008 FINANCIAL YEAR
The past year has seen significant progress in satisfying the Company’s goals and milestones relating to the establishment of a major international toys and games business, which also has a focus on developing highly creative and innovative products with potential blockbuster sales outcomes.
The 2007 financial year’s activities have resulted in:

The completion of development of over 30 products, and over eight unique play patterns;

A significant expansion in the capital base as a pre-requisite to implementing the Company’s business plan;

The recent release to the market involving initial sales of the Company’s unique MemoToys movement recording technology play-pattern (MemoToys[TM] ) under brand licence characters in addition to a range of other products;

The acquisition of a number of key toy brand licences (electronic toy category) for the US market including The Wiggles, Little Golden Books, Bee Movie and Jay Jay the Jet Plane, and through out Australian distributor – Thomas the Tank Engine and The Wiggles for Australasia; and very recently we announced the acquisition of the Hummer toy license for the world;

The conclusion of agreements already substantially paid for to acquire our key distributors (Enertec Enterprises, Inc in Hong Kong, and the business and assets of Reveal Entertainment, Inc based in Abilene Texas) with effect from January 1 2008, thereby providing to the Company the business, sales (including electronic data

vendor entry access to major mass retailers), logistical, technical, and manufacturing platform from which to build on the existing $10 million annual sales of the two businesses, and also propel the growth of the BrainyToys product range. We have also just announced the conclusion of a heads of term agreement to acquire a UKbased European toy and model distribution business which will significantly add to this sales platform (annual sales of over $4 million) and generate cross marketing opportunities;

The formation of a high level US-based marketing, licensing, strategy, and sales unit (comprising leading industry experts in the US) aimed at achieving blockbuster sales outcomes for certain of the Company’s products over the ensuing short to medium term;

A financial loss of $1,806,389 for the economic entity reflecting the Company’s business development phase.
We are very enthusiastic about the Company’s prospects, and appreciate your continued support. From December 2[nd] 2007,Mr Larry Bernstein, the former President of Hasbro Toy Division (the world’s second largest toy Company) will be joining us on the board of directors. Obviously Larry shares this enthusiasm. Finally I would also like to acknowledge and compliment the dedicated and very creative work of Alex and his executive team.
