To the BRAINYTOYS ANNUAL GENERAL MEETING

Brainytoys has, in a very short space of time since it's re-listing, focused on developing its underlying infrastructure, development and marketing capabilities for expansion into Australian and global markets.

Brainytoys is the only toy and game development company listed on the ASX.

This unique scenario has in our first 12 months, proven itself to be both advantageous and challenging.

To date, it has been very difficult for the market to value the Company's earnings and valuecreation potential and its current range of 30 plus toys and games during the Company's development stage.

The Company has been constrained in delivering specific information, at this early stage, to the market as product and commercial confidentiality is a critical part of maintaining a competitive advantage in this industry.

The potential for our products to 'meet the market' is real and the feedback from Australian and overseas distributors to our early and ongoing presentations continues to be very positive.

After a considered process of product evaluation, taking into account industry feedback, Brainytoys has chosen the first 14 of its toys and games to form its 2006 season product range.

These will now proceed to commercialisation through the demonstration of manufactured samples to a number of selected local and overseas distributors.

The research and development phase for the 2006 season product range has concluded and we are now moving the Company into the commercialisation process.

The buying season for this industry starts in earnest in the early part of next year and the Company will be ready to confidently engage with the industry's cycles.

The Company's dedicated team of designers and technicians are now starting the development process of new toys and games for the 2007 season.

This is a continuing process and I am pleased to report that the Company already has a roster of over 20 product concepts in the development pipeline.

Our Managing Director, Alex Aguero, has made considerable in-roads in introducing Brainvtovs to the industry in general and specifically to key Australian and global toy and game distributors.

This has been done through meetings with manufacturers, suppliers and distributors, and by attendance at trade exhibitions and conferences.

The appointment of Tonia McNeilly as Marketing Manager complements Alex's product development and visionary skills for the company to launch its brand.

I thank all the staff for the past year.

Turning to the financial results for the year ended 30 June 2005:

RESULTS:

The Company had a consolidated loss for the economic entity after providing for income tax amounting to \$740,305 and no dividends were paid or recommended by the Board for the financial year 30 June 2005.

CONCLUSION:

I would now like to proceed with the business of the meeting.
