Mabion S.A. — Capital/Financing Update 2021

Management Board of Mabion S.A. ("Company") informs that on February 5,2021 it concluded with Twiti Investments Ltd. - a related party andshareholder holding 17.33% of the share capital of the Company("Lender"), an agreement loans in the total amount of up to PLN 10million (the "Loan") The Supervisory Board of the Company agreed toconclude a loan agreement.

The loan may be disbursed in tranches, in the amounts and dates agreedby the parties in a separate disbursement schedule, with the Lender eachtime paying the tranche upon a written request from the Borrower. Theloan agreement does not specify the purpose of the allocation of funds,and the intention of the Company is to allocate the funds obtained tocover current expenses.

The interest on the loan has been agreed on an arm's length basis as avariable interest rate based on the WIBOR 3M rate plus a margin. Theloan may be repaid by conversion into ordinary series U bearer shares,which the Management Board of the Company plans to issue in accordancewith the current report No. 3/2021 of January 27, 2021, or in cash nolater than December 31, 2021.

The above-mentioned arrangements constitute the next stage in theimplementation of the declaration of support for the Company by keyshareholders submitted by them in the supporting letters provided to theCompany.

As at the date of this current report, the Company is also a party toother loan agreements with major shareholders, i.e. (1) a loan agreementof July 15, 2020 from Glatton sp.z o.o. (CR No. 30/2020 of July 15,annex of December 10 - RB No. 46/2020) in the amount of PLN 15 millionto refinance a revolving credit from Santander Bank Polska S.A. and (2)loan agreements of August 12, 2020 from Twiti Investments Ltd. andGlatton sp.z o.o. (CR No. 31/2020 of August 12) in the amount of PLN 15million.
