Mabion S.A. — Capital/Financing Update 2021

The Management Board of Mabion S.A. ("Issuer", "Company") informs aboutregistration by the Regional Court for Łódź-Śródmieście in Łódź, XXCommercial Division of the National Court Register (Court) on April 2,2021 of the amendment to the Articles of Association regarding theincrease of the Company's share capital as a result of the issue ofseries U shares made pursuant to Resolution No. 4 / II / 2021 of theExtraordinary General Meeting of the Company on February 23, 2021.

After the issue the Company's share capital amounts to PLN 1,616,132.60and is divided into 16,161,326 shares with a nominal value of PLN 0.10each, including:

a) 450,000 registered preference A series shares,

b) 450,000 registered preference B series shares,

c) 450,000 registered preference C series shares,

d) 450,000 ordinary bearer D series shares,

e) 100,000 registered preference E series shares,

f) 100,000 registered preference F series shares,

g) 20,000 registered preference G series shares,

h) 2,980,000 ordinary bearer H series shares,

i) 1,900,000 ordinary bearer I series shares,

j) 2,600,000 ordinary bearer J series shares,

k) 790,000 ordinary bearer K series shares,

l) 510,000 ordinary bearer L series shares,

m) 360,000 ordinary bearer M series shares,

n) 340,000 ordinary bearer N series shares,

o) 300,000 ordinary bearer O series shares,

p) 1,920,772 ordinary bearer P series shares,

q) 10,000 ordinary bearer S series shares,

r) 2,430,554 ordinary bearer U series shares.

The total number of votes resulting from all issued shares of theCompany is 17,731,326 votes.

Accordingly, section 9 (1) of the Company's Articles of Association hasbeen amended to the following wording:

1. "The share capital of the Company amounts to PLN 1,616,132.60 (onemillion six hundred sixteen thousand one hundred thirty two 60/100zloty) and is divided into 16,161,326 (sixteen million one hundred sixtyone thousand three hundred twenty six) shares each having a par value ofPLN 0.10 (ten grosz), including:

a) 450.000 (four hundred fifty thousand) registered preference shares, Aseries,

b) 450.000 (four hundred fifty thousand) registered preference shares, Bseries,

c) 450.000 (four hundred fifty thousand) registered preference shares, Cseries,

d) 450,000 (four hundred fifty thousand) ordinary bearer shares, Dseries,

e) 100,000 (one hundred thousand) registered preference shares, E series,

f) 100,000 (one hundred thousand) registered preference shares, F series,

g) 20,000 (twenty thousand) registered preference shares, G series,

h) 2,980,000 (two million nine hundred eighty thousand) ordinary bearershares, H series,

i) 1,900,000 (one million nine hundred thousand) ordinary bearer shares,I series,

j) 2,600,000 (two million six hundred thousand) ordinary bearer shares,J series,

k) 790,000 (seven hundred ninety thousand) ordinary bearer shares, Kseries,

l) 510,000 (five hundred ten thousand) ordinary bearer shares, L series,

m) 360,000 (three hundred sixty thousand) ordinary bearer shares, Mseries,

n) 340,000 (three hundred forty thousand) ordinary bearer shares, Nseries,

o) 300,000 (three hundred thousand) ordinary bearer shares, O series,

p) 1,920,772 (one million nine hundred and twenty thousand seven hundredseventy two) ordinary bearer shares, P series,

q) 10,000 (ten thousand) ordinary bearer S series shares,

r) 2,430,554 (two million four hundred thirty thousand five hundredfifty four) ordinary bearer U series shares".

At the same time, pursuant to Resolution No. 5 / II / 2021 of theExtraordinary General Meeting of the Company of February 23, 2021, onthe same day, the Court also registered an amendment to the Articles ofAssociation, consisting in an amendment to § 6 with the followingwording:

"§6

The object of activity of the Company is, in accordance with the PolishClassification of Business Activities (PKD 2007):
