Notes:

l. The above audited standalone financial results as reviewed by the Audit Committee, have been approved and taken on record at the. meeting of the Board of Directors held on 1 01 hJune, 2020.

2. Compromise Settlement:

During the tinancial year 2018-19, Dena Bank and Kapol Co-op Bank had assigned its total debts of Rs. 7839.42 lakhs standing in tho books of account's in favour of IARC. acting in its capacity as Trustee of IARF-m Trust Scheme. Accordingly, all underlying securities and security rights pertaining to the debts also stood assigned in favour of IARC.

The Company has formalised the Term Sheer of Restructuring of Debt & Restructuring Support Finance on 201 hNovember 2019 with !ARC acting in its capacity as Trustee of IARF Ill Trust Scheme. As per the tenn sheet of Restructuring of Debt, as on cut-off date i.e 31st May 20 19 (mentioned in tcmt sheet), the total debt is restructured at Rs. J 0,117 lakhs and additional support finance provided by !ARC Rs. 2850 lakhs.

The Company has accounted the difference between restructured debt i.eRs.l 0, 117 lakhs and amount outstanding in books of accounts i.e 7.839.42 lakhs, amounting toRs. 2,277.58lakhs being interest and other charges of restructured loan charged by IARC till cut-off date in the previous quarter and is shown under Exceptional item and interest subsequent to cut off date i.e. from I sl June 2019 till 3 !'1 M arch 2020 shown under Finance Cost.

3. Capital Expenditure:

The Company reviews its portfolio of products under development and applied research regularly. Accordingly, a sum of Rs. 44.10 lakhs incurred during the quarter is carried forward as "Intangible Assets under development" to be recognized as "Self-Generated Intangible Assets" upon successful development and commercial viability of the respective products. However, the carrying cost of those product's which do not eonfinn to the test of commercial viability are charged to the Statement of Profit and Loss.

During the quarter, the Company has capitalized Rs.l22.27 lakhs as "Self - Generated Intangible Assets" upon successful development of respective products.

During the quatter company has charged Rs.285.78 to profit and loss account under exceptional items for products arc abandoned for further development

  1. fnd AS 116 - Leases. has become applicable effective annual reporting period beginning April I, 2019. The Company has adopted the standard beginning April 1. 2019, using the modified retrospective approach for transition. Accordingly. the Company has not restated the comparative information, instead the cumulative effect of initially applying the standard has been recognized as an adjustment to the opening balance of retained earnings as on April I, 20 19

    1. Figures for the quarter ended March 31, 2020 and March 3 1, 2019 represent the difference between the audited figures in respect of the full financial year and the publish figures of nine months ended December 3 1. 2019 and December 31, 2018, respectively.
    1. The Company operates in one reponable business segment i.e. "Pham1aceuticals''.
    1. The figures for previous year have been regrouped/rearranged wherever considered necessary.
    1. In March 2020, the world Health Organisation declared COVID 19 to be a pandemic. the Company has adopted measures to curb the spread of infection in order to protect the health of its employees and ensure business continuity with minimal disruption.

The Company Has considered internal and external infonnation while finalizing various estimates in relation to its financia l statement captions upto the date of approval of the financial statements by the Board of Directors. The actual impact of the global health pandemic may be different from that which has been estimated. as the COVID -19 situation evolves in India and globally. The Company will continue to closely monitor any material changes to future economic conditions.

Report on the audit of the Standalone Financial Results

Opinion

We have audited the accompanying standalone financial results of Lyka Labs Limited ("the Company'') for the quarter and year ended 31st March 2020 ("the Statement'') (which includes the Statement of Company's branch at Ankleshwar audited by other auditors and relied upon by us, after making such changes as are considered necessary for incorporation) attached herewith, being submitted by the Company pursuant to the requirement of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ("Listing Regulations").

In our opinion and to the best of our information and according to the explanations given to us these standalone financial results:

  • I. are presented in accordance with the requirements of Regulation 33 of the Listing Regulations in this regard; and
  • II. give a true and fair view in conformity with the recognition and measurement principles laid down in the applicable accounting standards and other accounting principles generally accepted in India of the net loss and other comprehensive income and other financial information for the quarter and year ended 31st March 2020.

Basis for Opinion

We conducted our audit in accordance with the Standards on Auditing (SAs) specified under section 143(10) of the Companies Act, 2013 (the Act). Our responsibilities under those Standards are further described in the Auditor's Responsibilities for the Audit of the Standalone Financial Results section of our report. We are independent of the Company in accordance with the Code of Ethics issued by the Institute of Chartered Accountants of India together with the ethical requirements that are relevant to our audit of the financial results under the provisions of the Companies Act, 2013 and the Rules thereunder, and we have fulfilled our other ethical responsibilities in accordance with these requirements and the Code of Ethics. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Emphasis of Matter

We draw attention to the following matters:

A. Compromise Arrangement

Note No 2 regarding compromise settlement with Dena Bank and Kapol Co-op Bank for assignment of debts in favor of International Assets Reconstruction Company Ltd (IARC).

B. Capital Expenditure

We draw attention to Note No. 3 regarding status of portfolio of products under development and applied research.

Our opinion is not qualified in respect of these matters.

Management's Responsibilities for the Standalone Financial Results

These quarterly financial results as well as the year to date standalone financial results have been prepared on the basis of the interim financial statements. The Company's Board of Directors are responsible for the preparation of these financial results that give a true and fair view of the net profit/ loss and other comprehensive income and other financial information in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34, 'Interim Financial Reporting' prescribed under Section 133 of the Act read with relevant rules issued thereunder and other accounting principles generaUy accepted in India and in compliance with Regulation 33 of the Listing Regulations. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Company and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and prudent; and design, implementation and maintenance of adequate internal financial controls that were operating effectively for ensuring the accuracy and completeness o.f the accounting records, relevant to the preparation and presentation of the standalone financial results that give a true and fair view and are free from material misstatement, whether due to fraud or error.

In preparing the standalone financial results, the Board of Directors are responsible for assessing the Company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the Board of Directors either intends to liquidate the Company or to cease operations, or has no realistic alternative but to do so.

The Board of Directors are also responsible for overseeing the Company's financial reporting process.

Auditor's Responsibilities for the Audit of the Standalone Financial Results

Our objectives are to obtain reasonable assurance about whether the standalone financial results as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor's report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with SAs will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these standalone financial results.

As part of an audit in accordance with SAs, we exercise professional judgment and maintain professional skepticism throughout the audit We also:

• Iden tify and assess the risks of material misstatement of the standalone financial results, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error,

as fraud may involve collusion, forgery, intentional omissions, misrepresentalions, or Lhe override of internal control.

  • Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the company's internal control.
  • Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by the Board of Directors.
  • Conclude on the appropriateness of the Board of Directors' use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Company's ability to continue as a going concern. If we conclude t11at a material uncertainty exists, we are required to draw attention in our auditor's report to the related disclosures in the financial results or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor's report. However, future events or conditions may cause the Company to cease to continue as a going concern.
  • Evaluate the overall presentation, structure and content of the standalone financial results, including the disclosures, and whether the financial results represent the underlying transactions and events in a marmer that achieves fair presentation.

We communicate with those charged with governance regarding, among other matters, the planned scope and timillg of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.

We also provide those charged with governance with a statement that we have complied with relevant ethical requirements regarding independence, and to communicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards.

Other Matters

The statement includes the results for the quarter ended 31st March 2020 being the balancing figure between audited figures in respect of the full financial year and the published unaudited year to date figures up to the nine months of the current financial year which were subject to limited review by us.

Notes:

1. The above audited consolidated financial results as reviewed by the Audit Committee, have been approved and taken on record at the meeting of the Board of Directors held on I 0'11 June, 2020.

2. Compromise Settlement:

During the financial year 2018-19, Dena Bank and Kapol Co-op Bank had assigned its total debts of Rs. 7839.42 lakhs standing in the books of account's in favour of LARC, acting in its capacity as Trustee of IARF-lll Trust Scheme. Accordingly, all underlying securities and security rights pettaining to the debts also stood assigned in favour oflARC.

The Company has formalised the Term Sheet of Restructuring of Debt & Restructuring Support Finance on 20'" November 2019 with !ARC acting in its capacity as Trustee of IARF lli Trust Scheme. As per the tenn sheet of Restructuring of Debt, as on cut-off date i.e 3 (S' May 2019 (mentioned in tcm1 sheet), the total debt is restructured at Rs . . I 0,117 lakhs and additional suppott finance provided by IARC Rs. 2850 lakhs.

The Company has accounted the difference between restructured debt i.e Rs.l 0, II7 lakhs and amount outstanding in books of accounts i.e 7,839.42 Iakhs, amounting toRs. 2,277.58 lakhs being interest and other charges of restructured loan charged by IARC till cut-off date in the previous quarter and is shown under Exceptional item and interest subsequent to cut off date i.e. n·om I st June 20 t 9 till 3I "' March 2020 shown under Finance Cost.

3. Capital Expenditure:

The Holding Company reviews its po1tfolio of products under development and applied research regularly. Accordingly, a sum of Rs. 44.10 lakhs incurred during the quarter is carried forward as " Intangible Assets under development" to be recognized as "Self-Generated Intangible Assets" upon successful development and commercial viability of the respective products. However, the carrying cost of those product's which do not confinu to the test of commercial viability are charged to the Statement of Profit and Loss.

During the quarter, the Holding Company has capitalized Rs.122.27 lakhs as "Self- Generated Intangible Assets" upon successful development of respective products.

During the quarter the Holding Company has charged Rs.285. 78 to profit and loss account under exceptional items towards products are abandoned for further development

  1. Ind AS 116 - Leases, has become applicable effective annuaJ reporting period beginning April I, 2019. The Company has adopted the standard beginning April I, 2019, using the modified retrospective approach for transition. Accordingly, the Company has not restated the comparative infom1ation, instead the cumulative effect of initially applying the standard has been recognized as an adjustment to the opening balance of retained earnings as on April 1, 2019.

Our responsibilities under those Standards are further described in the Aurutor's Responsibilities for the Audit of the Consolidated Financial Results section of our report We are independent of the Group, its associates and jointly controlled entities in accordance with the Code of Ethics issued by the Institute of Chartered Accountants of India together with the ethlcal requirements that are relevant to our audit of the financial statements under the provisions of the Comparues Act, 2013 and the Rules thereunder, and we have fulfilled our other ethical responsibilities in accordance with these requirements and the Code of Ethics. We believe that the audit evidence obtained by us and other auditors in terms of their reports referred to in "Other Matter" paragraph below, is sufficient and appropriate to provide a basis for our opinion.

Emphasis of Matter

We draw attention to the following matters:

A. Compromise Arrangement

Management's Responsibilities for the Consolidated Financial Results

These quarterly financial results as well as the year to date consolidated financial results have been prepared on the basis of the interim financial statements.

The Holding Company's Board of Directors are responsible for the preparation and presentation of these consolidated financial results that give a true and fair view of the net profit/loss and other comprehensive income and other financial information of the Group including its associates and jointly controlled entities in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34, 'Interim Financial Reporting' prescribed under Section 133 of the Act read with relevant rules issued thereunder and other accounting principles generally accepted in India and in compliance witl1 Regulation 33 of the Listing Regulations. The respective Board of Directors of the companies included in the Group and of its associates and jointly controlled entities are responsible for maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Group and its associates and jointly controlled entities and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates tl-tat are reasonable and prudent; and the design, implementation and maintenance of adequate internal fmancial controls, that were operating effectively for ensuring accuracy and completeness of the accounting records, relevant to the preparation and presentation of the consolidated financial results that give a true and fair view and are free from material misstatement, whether due to fraud or error, which have been used for the purpose of preparation of the consolidated financial results by ilie Directors of the Holding Company, as aforesaid.

In preparing the consolidated financial results, the respective Board of Directors of the companies included in the Group and of its associates and jointly controlled entities are responsible for assessing fue ability of the Group and of its associates and jointly controlled entities to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the respective Board of Directors either intends to liquidate the Group or to cease operations, or has no realistic alternative but to do so.

The respective Board of Directors of the companies included in the Group and of its associates and jointly controlled entities are responsible for overseeing the financial reporting process of the Group and of its associates and jointly controlled entities.

  • Conclude on the appropriateness of the Board of Directors' use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the ability of the Group and its associates and jointly controlled entities to continue as a going concern. Our conclusions are based on the audit evidence obtained up to the date of our auditor's report.   • Evaluate the overall presentation, structure and content of the consolidated financial results, including the disclosures, and whether the consolidated financial results represent the underlying transactions and events in a manner that achieves fair presentation.
  • Obtain sufficient appropriate audit evidence regarding the financial results/ financial information of the entities within the Group and its associates and jointly controlled entities to express an opinion on the consolidated Financial Results. We are responsible for the direction, supervision and.performance of the audit of financial information of such entities included in the consolidated financial results of which we are the independent auditors. For the other entities included in the consolidated Financial Results, which have been audited by other auditors, such other auditors remain responsible for the

direction, supervision and performance of the audits carried out by them. We remain solely responsible for our audit opinion.

We communicate with those charged with governance of the Holding Company and such other entities included in the consolidated fmancial results of which we are the independent auditors regarding, among other matters, the planned scope and tinting of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.

We also provide those charged with governance , ith a statement that we have complied w ith relevant ethical requirements· regarding independence, and to communicate with them all relationshjps and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards.

We also performed procedures in accordance with the circular issued by the SEBI under Regulation 33{8) of the Listing Regulations, as amended, to the extent applicable.

Other Matters

The accompanying Statement includes the audited financial results and oU1er financial information, in respect of three subsidiaries, whose financial results include total assets of Rs 4,926.89 lakhs as at March 31, 2020, total revenues of Rs 928.32 lakhs and Rs 4,286.82 lakhs, total net profit/ (loss) after tax of Rs. (387.36) lakhs and Rs. (943.02) lakhs, total comprehensive income of Rs. (376.32) lakhs and Rs. (931.97) lakhs, for the quarter and the year ended on that date respectively, and net cash outflows of Rs. 8.10 lakhs for the yea r ended March 31, 2020, as considered in the Statement which have been audited by us.

We did not audit financial results and other financial information in respect of one branch at Ankleshwar, whose financial results/ information reflects total assets of Rs. 7,323.98 lakhs as at 3151 March 2020, total revenues of Rs. 708.01 lakhs and Rs. 3,090.56 lakhs, total net profit after tax of Rs. (96.74) lakhs and Rs. (83.86) lakhs, total comprehensive income of Rs. (96.74) lakhs and Rs. (83.86) lakhs for the quarter and year ended 31st March 2020 respectively. These audited financial results and oilier financial information have been audited by other auditor, whose reports have been furnished to us by the management.

Our opiruon on the Statement is not modified in respect of the above matters with respect to our reliance on the work done and the reports of the other auditors.

The statement includes the results for the quarter ended 31st March 2020 being the balancing figure between audited figures in respect of the full financial year and the published unaudited year to date figures up to the nine months of the current financial year which were subject to limited review by us.
