Upon achievement of a stock price performance target and certification of achievement by the Compensation Committee of the Issuer's Board of Directors, the PSUs in the applicable tranche will vest in full if certain service-based vesting conditions applicable to such tranche have been met, subject to the Reporting Person continuing as a service provider through each such date.
