CHANGE OF CLOSING DATE OF THE ISSUE OF US$100,000,000 5.85 PER CENT. CONVERTIBLE BONDS DUE 2025

Reference is made to the announcement (the Announcement ) of Luye Pharma Group Ltd. (the Company ) dated 23 October 2024 in relation to, among other things, the issue of US$100,000,000 5.85 per cent. convertible bonds due 2025 by the Company. Unless the context requires otherwise, capitalised terms used herein have the same meanings as those defined in the Announcement.

The Company announces that the Company and the Subscriber have agreed to change the Tranche A Closing Date to 30 October 2024, or such later date as the Company and the Subscriber may agree.
