Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Allisha Elliott, a Non-Executive Director of Luxfer Holdings PLC (“Luxfer” or the “Company”), has tendered her offer of resignation from the Company’s Board of Directors (the “Board”). Ms. Elliott has indicated that her resignation from the Board is not the result of any disagreement with management or the Board but driven by personal considerations. The Board accepted Ms. Elliott’s resignation, which will take effect from December 31, 2021.

Ms. Elliott joined the Board in March 2019 and served on the Remuneration Committee and Nominating and Governance Committee. David Landless, Luxfer’s Board Chair, stated, “We are grateful for Allisha’s contributions during her tenure with the Board. Luxfer has benefited greatly from her experience, particularly her extensive knowledge in talent development, succession planning, and executive compensation, all of which brought valued perspective that will be missed. We wish her the best in her future endeavors.”
