Comunicazione dell'ammontare complessivo dei diritti di voto

(redatta ai sensi dell'art. 85-bis, comma 4-bis del Regolamento Emittenti, adottato dalla Consob con delibera n. 11971 del 14 maggio 1999)

Uboldo, 4 dicembre 2025 – LU-VE S.p.A. comunica che nel mese di novembre 2025 è intervenuta una variazione dell'ammontare complessivo dei diritti di voto della Società, per effetto del venir meno della maggiorazione del voto relativamente a n. 19.451 azioni ordinarie di LU-VE S.p.A., ai sensi dell'art. 127 quinquies del d.lgs. 98/1998 ("TUF") e in applicazione di quanto previsto dall'art. 6-bis dello Statuto Sociale.

Si riepiloga di seguito la situazione:

• il capitale sociale di LU-VE S.p.A. è pari ad Euro 62.704.488,80 ed è costituito da n. 22.234.368 azioni ordinarie, senza indicazione del valore nominale;
• nel corso del mese di novembre 2025 è venuto meno il diritto alla maggiorazione di n. 19.451 azioni, che ha comportato una variazione dei diritti di voto complessivi da 36.357.090 a 36.337.639;
• ai sensi del comma 8 dell'art. 127-quinquies del TUF e dell'art. 6-bis comma 11 dello Statuto Sociale, la maggiorazione del diritto di voto si computa per la determinazione dei quorum costitutivi e deliberativi dell'Assemblea dei Soci.

La tabella che segue riporta i dati relativi alle azioni in circolazione e al numero dei diritti di voto esercitabili alla data odierna.

Notification of the total amount of voting rights

(drawn up pursuant to Article 85-bis, paragraph 4-bis of the Issuers' Regulation, adopted by Consob with resolution no. 11971 of 14 May 1999)

Uboldo, 4 December 2025 – LU-VE S.p.A. announces that in November 2025 a change occurred in the total amount of the Company's voting rights, as a result of the decrease of the voting rights relating to no. 19,451 ordinary shares of LU-VE S.p.A., pursuant to Article 127-quinquies of Legislative Decree 98/1998 ("TUF") and in application of the provisions of Article 6-bis of the Articles of Association.

The current situation is as follows:

• the share capital of LU-VE S.p.A. is equal to Euro 62,704,488.80 divided in 22,234,368 ordinary shares, without indication of nominal value;
• during the month of November 2025, the increased voting rights of 19,451 shares has been cancelled, resulting in a change in the total voting rights from 36,357,090 to 36,337,639;
• pursuant to paragraph 8 of Article 127-quinquies of the TUF and Article 6-bis, paragraph 11 of the Articles of Association, the increased voting rights are calculated for the determination of the quorums for the constitution and resolutions of the Shareholders' Meeting.
