In compliance with Regulation 30 of SEBI Listing Regulations and further to our intimation letters dated March 31, 2025 and April 30, 2025, we are pleased to inform you that today, i.e. June 30, 2025, the Company has executed a Business Transfer Agreement (‘BTA’) for transfer of its Over-the-Counter Consumer Healthcare Business (‘OTC Business’) to LUPINLIFE Consumer Healthcare Limited (‘LCHL’), a wholly owned subsidiary of the Company, on a slump sale basis.

In terms of the BTA, the said transaction has been completed, and transfer of OTC Business will be effective from July 01, 2025.
