Item 1.01 Entry Into a Material Definitive Agreement.

Item 8.01 Other Events.

On July 25, 2021, affiliates of Level 3 Parent, LLC, an indirect wholly-owned subsidiary of Lumen Technologies, Inc. (the “Company”), entered into a definitive agreement to divest the Company’s Latin American business to a fund advised by Stonepeak Partners LP in exchange for $2,735,000,000 cash, subject to certain post-closing adjustments.

The Company anticipates closing the divestiture in the first half of 2022, subject to the closing conditions specified in the press release described below.

Additional information about the Company’s proposed divestiture is contained in its press release issued on July 26, 2021. That press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
