Dear Sir/Ma'am,
Pursuant to Regulation 30 read with schedule Ill of the Listing Regulations, please find enclosed herewith the Notice of Postal Ballot (along with Postal Ballot Form) dated 1st February, 2020 for seeking consent/approval of the Shareholders by way of an Ordinary Resolution for Material Related Party Transactions by means of Postal Ballot including an option to vote through remote electronic voting ("e-voting").
The Notice of Postal Ballot along with the Postal Ballot Form, has been sent to the Shareholders whose names appear in the Register of Members/ List of Beneficial Owners as on Friday, 07th February, 2020 i.e. cut-off date.
The Company has engagedthe services of KFin Technologies Pvt. Ltd. ("KFintech") as the agency to provide thee-voting facility to all its Members. The voting through Postal Ballot and through e-voting will commence from Monday, 24th February, 2020 at 09:00 A.M. (1ST) and ends at 05:00 P.M. (1ST) on Tuesday, 24th March, 2020. The result of the Postal Ballot will be declared on or before 05:00 P.M. (1ST) on Thursday, 26th March, 2020.
The Postal Ballot Notice along with explanatory statement and Postal Ballot Form is available on the website of the Company at www.lumaxworld.in/lumaxindustries.

NOTICE OF POSTAL BALLOT
[Pursuant to Section 110 of the Companies Act, 2013, read with the Companies (Management and Administration) Rules, 2014]
Dear Member(s),
Notice is hereby given that pursuant to the provisions of Section 110 and all other applicable provisions, if any, of the Companies Act, 2013 (hereinafter referred to as the "Act"), read with Rule 20 & 22 of the Companies (Management and Administration) Rules, 2014 as amended (the "Rules"), Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (the "Listing Regulations") including any statutory modification(s) or re-enactment thereof for the time being in force, Secretarial Standard – 2 on General Meeting (SS-2) issued by the Institute of Company Secretaries of India (ICSI) and other applicable laws and regulations, if any, the Company is seeking consent / approval of the Members of the Company to pass the below appended proposed resolution by way of ordinary resolution by means of Postal Ballot including an option to vote through remote electronic voting (e-voting).
The Explanatory Statement pursuant to Sections 102, 110 and other applicable provisions, if any, of the Act, pertaining to the below appended resolution setting out the material facts and the reasons thereof is annexed hereto along with a Postal Ballot Form for consideration by Members along with a self-addressed, postage pre-paid, Business Reply Envelope.
The Board of Directors of your Company, at their Meeting held on Saturday, February 01, 2020 has appointed Mr. Maneesh Gupta, Practicing Company Secretary, (FCS 4982), Delhi (the "Scrutinizer"), to act as the Scrutinizer for conducting the Postal Ballot and e-voting process in a fair and transparent manner and Kfin Technologies Pvt. Ltd. ("Kfintech") as agency in respect of e-voting for the Postal Ballot. The consent to act as Scrutinizer has been received on February 01, 2020.
The Member(s) have the option to vote either by physical Postal Ballot or through e-voting. Member(s) desiring to exercise their vote by Postal Ballot are requested to carefully read the instructions printed in the Postal Ballot Form and record their assent ('FOR') or dissent ('AGAINST') therein and return the same, duly completed in all respects in the enclosed self-addressed Business Reply Envelope. A Postal Ballot Form sent by courier or by registered post/ speed post at the address mentioned on the self-addressed Business Reply Envelope at the expense of the Member(s) will also be accepted. The Postal Ballot Form(s) may also be deposited personally at the address given on the self-addressed envelope.
nd The duly completed Postal Ballot Form should reach the Scrutinizer at 2 Floor, Harbans Bhawan-II, Commercial Complex, Nangal Raya, New Delhi–110046 not later than 05:00 P.M. (IST) on Tuesday, March 24, 2020 to be eligible for being considered, failing which it will be strictly considered that no reply has been received from the Member(s).Pursuant to Section 108 of the Act read with Rule 20 of the Rules, the Company is also providing e-voting facility for voting electronically on the resolution proposed in this Notice of Postal Ballot. Members desiring to opt for the evoting facility are requested to read carefully the related instructions as stated in the notes to this Notice of Postal Ballot under the heading "Voting through Electronic Means (E-voting)".
The Scrutinizer will submit his report to the Chairman of the Company or in his absence to the person authorised by him in writing or Company Secretary of the Company after completion of the scrutiny of Postal Ballot (including e-voting) in a fair and transparent manner, and the results of the voting by means of Postal Ballot (including voting through electronic means) will be declared/ announced on or before 05:00 P.M. (IST) on Thursday, March 26, 2020 at the Registered Office of the Company. The results of the Postal Ballot along with the Scrutinizer's Report will also be displayed on the Company's website i.e. www.lumaxworld.in/lumaxindustries and on the website of the Kfin Technologies Pvt. Ltd.(KFintech) i.e. www.kfintech.com. The results will simultaneously be communicated to the Stock Exchanges, where the Company's shares are listed, Depositories and Registrar and Share Transfer Agent.
SPECIAL BUSINESS:
Item No. 1- Approval of Material Related Party Transactions with Lumax Auto Technologies Limited
To consider and if thought fit, to pass, with or without modification(s) the following resolution as an Ordinary Resolution through voting by Postal Ballot (including e-voting):
"Resolved that pursuant to the provisions of Section 188 of the Companies Act, 2013 ("Act") read with the Companies (Meetings of Board and its Powers) Rules, 2014, Regulation 23 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and in accordance with all other applicable provisions of the Companies Act, 2013 read with rules made thereunder (including any statutory modification(s) or reenactment(s) thereof for the time being inforce) and also pursuant to the approval of Audit Committee and Board of Directors (hereinafter referred to as the "Board"), subject to such other approvals, consents, permissions and sanctions of any authorities as may be necessary, the consent of the Member(s) be and is hereby accorded to enter into/continue the contracts, agreements, arrangements and material related party transactions with Lumax Auto Technologies Limited ("LATL"), a related party of the Company within the meaning of Section 2(76) of the Act (including transactions already entered) for sale, purchase, transfer or receipt of products, goods, materials, assets or availing or rendering of services, Rent/Leasing Transactions & Rent Deposits, Reimbursement of Expenses, etc. and such other transactions as may be approved by Audit Committee and Board for an estimated amount of up to Rs. 225 Crores (Rupees Two Hundred Twenty Five Crores only) for the Financial Year 2019-20 on such terms and conditions as may be mutually agreed upon between the Company and LATL.
Resolved Further That the Board of Directors of the Company be and are hereby severally authorized to decide upon the nature and value of the products, goods, materials, assets or services to be transacted with LATLwithin the aforesaid limits.
Resolved Further That the Board of Directors of the Company be and are hereby severally authorized to settle any question, difficulty or doubt, that may arise in giving effect to this resolution and to do all such acts and things as may be considered necessary and expedient for the purpose of giving effect to this resolution."

- Pursuant to the provisions of Section 108 and all other applicable provisions of the Act read with the Rules, as amended, and Regulation 44 of the Listing Regulations, the Company has provided e-voting facility to all its Members, to enable them to cast their votes electronically and has engaged the services of Kfin Technologies Pvt. Ltd. as the agency to provide e-voting facility. Instructions for the process to be followed for e-voting are annexed to this Postal Ballot Notice.

- During the e-voting period, Members can login to www.evoting.karvy.com any number of times till they have voted on all the resolutions. Once the vote on a resolution is cast by a Member, whether partially or otherwise, the Member shall not be allowed to change it subsequently or cast the vote again.

- The member(s) of the Company can opt for only one mode of voting, that is, either by physical Postal Ballot Form or e-voting. In case Members cast their votes through both the modes, voting done by valid e-voting shall prevail and votes cast through physical Postal Ballot will be treated as "INVALID".

- The e-voting period commences on Monday, February 24, 2020 at 9:00 a.m. (IST) and ends at 5:00 p.m. (IST) on Tuesday, March 24, 2020. During this period, Members of the Company, holding shares either in physical or dematerialised form, as on the cut-off date, that is, Friday, February 07, 2020, may cast their vote electronically. The e-voting module shall be disabled by KFintech thereafter.

- The resolution, if passed by the member(s) of the Company with requisite majority through the Postal Ballot (including e-voting), shall be deemed to have been passed on the last date of voting, that is, Tuesday, March 24, 2020 as if it has been passed at a general meeting of the member(s).

- The Postal Ballot & all other papers relating to the Postal Ballot including voting by e-voting shall be under safe custody of the scrutnizer till the chairman consider, approve and sign the minutes .

- The Scrutinizer will submit his report to the Chairman of the Company or in his absence, to the person authorised by him in writing, after the completion of the scrutiny of the Postal Ballots (including e-voting). The results of the Postal ballot would be announced by the Chairman or any other Director / authorized person of the Company on or before Thursday, March 26, 2020 and shall be displayed on the notice board of the Company at its Registered Office besides being communicated to Stock Exchanges. The results will also be displayed on the website of the Company at www.lumaxworld.in/lumaxindustries for the information of the member(s).

- Relevant documents referred to in this Postal Ballot Notice and the Statement are available for inspection by the Members at the Company's Registered Office during business hours on all working days from the date of dispatch of this Postal Ballot Notice until the last date for receipt of votes by Postal Ballot/ e-voting i.e. Tuesday, March 24, 2020.

- Once the vote on a resolution is cast by a Member, the Member shall not be allowed to change it subsequently or cast vote again.
20. Voting Through Electronic Means(E-Voting):
In terms of the provisions of section 108 of the Companies Act, 2013 (the Act), read with Rule 20 of the Companies (Management and Administration) Rules, 2014 as amended (hereinafter called 'the Rules' for the purpose of this section of the Notice) and Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations), the Company is providing remote e-voting facility to all its members, to enable them to cast/exercise their votes on the item of business given in the Notice through electronic voting system provided by Kfin Technologies Pvt. Ltd. (KFintech) to vote at Postal Ballot.
The 'Step by Step' procedure, Instructions and other information for casting your vote electronically through e-voting are as under:
A. In case a Member receives Notice through an e-mail:
- i. Use the following URLfor e-voting: https://evoting.karvy.com.
- ii. Enter the login credentials, i.e., user id and password mentioned in your email. Your Folio No./DPID Client ID will be your user ID. However, if you are already registered with KFintech for e-voting, you can use your existing User ID and Password for casting your votes.
- iii. After entering the details appropriately, click on LOGIN.
- iv. You will reach the Password change menu, wherein you are required to mandatorily change your password. The new password shall comprise of minimum 8 characters with at least one upper case (A-Z), one lower case (a-z), one numeric value (0-9) and a special character (@,#,$,etc.). It is strongly recommended not to share your password with any other person and take utmost care to keep your password confidential.
- v. You need to login again with the new credentials.
- vi. On successful login, the system will prompt you to select the EVENT, i.e., Lumax Industries Limited.
- vii. On the voting page, the number of shares (which represents the number of votes) as held by the Member as on the cut-off date will appear. If you desire to cast all the votes assenting/dissenting to the resolution, then enter all shares and click 'FOR'/'AGAINST'as the case may be or partially in 'FOR'and partially in 'AGAINST', but the total number in 'FOR'/'AGAINST' taken together should not exceed your total shareholding as on the cut-off date. You may also choose the option 'ABSTAIN' and the shares held will not be counted under either head.
- viii. Members holding multiple folios/demat accounts shall choose the voting process separately for each folio/demat account.
- ix. Cast your votes by selecting an appropriate option and click on 'SUBMIT'. A confirmation box will be displayed. Click 'OK' to confirm, else 'CANCEL' to modify. Once you confirm, you will not be allowed to modify your vote subsequently. During the voting period, you can login multiple times till you have confirmed that you have voted on the resolution.
- x. Corporate/Institutional Members (i.e., other than individuals, HUF, NRI, etc.) are required to send a scanned copy (PDF/JPEG Format) of the relevant Board resolution/authority letter etc. together with attested specimen signature of the duly authorised signatory (ies) who are authorised to vote, to the scrutinizer through email @ [email protected]. They may also upload the same in the e-voting module in their login. The scanned image of the above documents should be in the naming format 'Corporate Name EVENT No.'

- ii. Please follow all steps from Sr.No. (i) to (x) as mentioned in (A) above, to cast your vote.
21. Information and instructions relating to voting through physical Postal Ballot Form
- i. Members are requested to carefully read the instructions printed in the Postal Ballot Form and return the Postal Ballot Form duly completed with the Assent (FOR) or Dissent (AGAINST), in the enclosed self-addressed postage pre-paid envelope, so as to reach the Scrutinizer, not later than close of working hours that is, 05:00 p.m. (IST) on Tuesday, March 24, 2020 to be eligible for being considered, failing which, it will be strictly treated as if no reply has been received from the Member.
- ii. Members are requested to exercise their voting rights by using the attached Postal Ballot Form only. No other form or photocopy of the form is permitted.
Corporate / Institutional Members (that is, other than Individuals, HUF, NRI, etc.) opting for physical ballot are also required to send certified true copy of the Board Resolution / Power of Attorney / Authority Letter, etc., together with attested specimen signature(s) of the duly authorised representative(s), to the Scrutinizer along with the Postal Ballot Form.

Pursuant to the provisions of Regulation 23 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), a transaction with a Related Party shall be considered Material if the transaction(s) in a contract to be entered into individually or taken together with previous transactions during a Financial Year, exceeds ten percent of the Annual Consolidated Turnover of the Company as per the last audited Financial statements of the Company.
Lumax Auto Technologies Limited ("LATL") is a 'Related Party'within the meaning of Section 2(76) of the Companies Act, 2013 and Regulation 23 of the Listing Regulations and the Company has entered into certain transactions for sale, purchase, transfer or receipt of products, goods, materials, assets or availing or rendering of services, Rent/Leasing Transactions & Rent Deposits, Reimbursement of Expenses etc. and further also proposes to undertake the transactions as to sale, purchase, transfer or receipt of products, goods, materials, assets or availing or rendering of services, Rent/Leasing Transactions & Rent Deposits, Reimbursement of Expenses, etc.
The particulars of transactions carried out with LATL during the Financial Year 2019-20 together with the projections until March 31, 2020 are tabulated as under:

These transactions as well as the proposed transactions would continue to be in ordinary course of business and at arm's length basis.
During the Financial Year 2019-20 the transactions already entered into and to be entered into would qualify as Material Related Party Transactions. The aforesaid proposal has been approved by the Audit Committee and Board of Directors and the same is being recommended to Members for their approval.
Except Mr. Deepak Jain and Mr. Anmol Jain, being Promoter Director on the Board of the Company as well as Promoter Director on the Board of LATL, none other Directors, Key Managerial Personnel of the Company and their relatives, other than to the extent of their shareholding, are concerned or interested, financial or otherwise, in the said Resolution.
Mr. Deepak Jain, Chairman & Managing Director and Mr. Anmol Jain, Joint Managing Director of the Company being interested and any other Related Party, whether interested or not to this particular transaction(s), shall not vote on this Item.
The Board of Directors recommends passing of the Ordinary Resolution set out in Item No. 1 of the Postal Ballot Notice by the members of the Company.

- The self-addressed envelope being sent herewith bears the name and address of the Scrutinizer appointed for conducting Postal Ballot process.

- The Postal Ballot Form should be completed and signed by the Member (as per the specimen signature Registered with the Company/ Depository Participant). In case of joint holding, this Form should be completed and signed by the first named Member and in his/her absence, by the next named Member and so on.

- There shall be only one Postal Ballot Form for every Folio/ DP ID and Client ID irrespective of the number of joint holders. The Postal Ballot shall not be exercised by a Proxy.

- A member may request for a duplicate Postal Ballot Form, if so required. However, the duly completed duplicate Postal Ballot Form should reach the Scrutinizer not later than the date specified herein below at serial no. 8.

- The votes should be cast either in favour or against by putting the tick (3) mark in the column provided for assent or dissent. Postal Ballot Form bearing tick marks in both the columns will render the form invalid.

- Incomplete, unsigned or incorrectly ticked Postal Ballot Form will be rejected. The Scrutinizer's decision on the validity of a Postal Ballot will be final and binding.

- Duly completed Postal Ballot Form should be received by the Scrutinizer not later than the close of working hours (i.e. before 5.00 P.M.) on Tuesday, March 24, 2020. Postal Ballot Forms received after this date will be treated as if no reply from the Member has been received.

- Voting rights shall be reckoned on the paid up value of Shares registered in the name(s) of the Member(s) as on cut-off date.

- In case of shares held by companies, trusts, societies, etc. the duly completed Postal Ballot Form should be signed by the authorized signatory accompanied by a certified true copy of the Board Resolution/Authorization letter together with specimen signature(s) of the duly authorized signatories.

- Members are requested not to send any other paper along with the Postal Ballot Form in the enclosed self-addressed postage prepaid envelope as all such envelopes will be delivered to the Scrutinizer and any extraneous paper found in such envelope would be destroyed by the Scrutinizer.

- The result of the Postal Ballot will be declared on or before Thursday, March 26, 2020 at the Registered Office of the Company. The result of the Postal Ballot will also be posted on the website of the Company: www.lumaxworld.in/lumaxindustries.

- Postal Ballot Form shall be considered invalid if a form other than the one issued by the Company or a photocopy thereof has been used.

- The Company is pleased to offer e-voting facility as an alternate, for all the members of the Company to enable them to cast their votes electronically instead of returning duly filled-up postal ballot form. E-voting is optional. The detailed procedure for evoting is enumerated at point no. 20 in the Notice of the postal ballot dated February 01, 2020.
