Dear Sir/Ma’am,
This is in continuation of our communication dated May 12, 2026, wherein it was informed to the exchanges regarding the pronouncement of order by the Hon’ble National Company Law Tribunal, New Delhi Bench (“Hon’ble NCLT”) sanctioning the Scheme of Amalgamation between IAC International Automotive India Private Limited (“Transferor Company”) and Lumax Auto Technologies Limited (“Transferee Company”) and their respective Shareholders and Creditors (“the Scheme”) and that the Scheme with the Appointed date of October 01, 2025 will be effective upon filing of the certified copy of the Hon’ble NCLT Order with the Registrar of Companies, Ministry of Corporate Affairs.
We now wish to inform that both the Transferor Company and the Transferee Company have filed the certified copy of the Hon’ble NCLT Order with the Registrar of Companies, Ministry of Corporate Affairs through Form No. INC-28, today i.e. Monday, May 18, 2026 and accordingly, the Scheme has become effective from Monday, May 18, 2026.
