	2.	The above Consolidated financial results have been reviewed by the Audit Committee and approved by the Board of Directors at theirmeeting held on November 10, 2020. Audit under regulation 33 of SEBI (Listing Obligation and Disclosures Requirements) Regulations,2015 has been carried out by the Statutory Auditor of the group.3. The Group business activity falls within a single business segment i.e. manufacturing and trading of Automotive Components andtherefore, segment reporting in terms of Ind-AS108 on Segmental Reporting is not applicable.4. The Group's operation were adversely impacted by the outbreak of the COVID-19 pandemic and consequent lockdown announced bythe Government of India. The operations have been resumed with requisite precautions in place. The operations of the Group have
	5.	gradually started moving towards normalcy, though the challenges still prevail. The situation is continuously evolving and managementwill continue to monitor any material changes arising due to the impact of this pandemic on the financial and operational performanceof the Group and take necessary measure to address the situation. Accordingly current quarter results are not comparable to previousquarter on account of restriction in business activities caused due to COVID-19 pandemic during the first quarter.The Code on Social Security 2020 (Code), which received the Presidential Assent on 28 September 2020, subsumes nine laws relating

The effective date of the Code is yet to be notified and related rules are yet to be framed. Theimpact of the change, if any, will be assessed and recognized post notification of the relevant provisions.Subsequent to the quarter ended September 2020, the Holding Company has acquired balance stake from the JV partner, Gill AustemLLC in respect of Lumax Gill-Austem Auto Technologies Private Limited (Further, name of Lumax Gill-Austem Auto Technologies Private

Limited has been changed to Lumax Mettalics Private Limited)On June 17, 2020, the Board of Directors had recommended a final dividend of Re. 1 per equity share for the financial year ended March31, 2020, which has been approved by the shareholders in the Annual General Meeting held on August 28, 2020. Accordingly,Rs. 681.58 lakhs was appropriated as distribution to equity shareholders during the quarter ended September 30, 2020.

	उनकी बैठक में अनुमोदित किया गया है। सेबी (सूचीबद्धता एवं प्रकटन अपेक्षाएं) विनियम, 2015 के विनियम 33 के तहत, चुप के साविधिकलेखापरीक्षकों द्वारा लेखापरीक्षा की गई है।3. ग्रुप की व्यवसाय गतिविधियां, एकल व्यवसाय सेगमेंट अर्थात ऑटोमोटिव कंपोनेंट्स का निर्माण एवं व्यापार के अंतर्गत आता है और इसलिएइंड—एस 108 के अनुसरण में सेगमेंट पर रिपोर्टिंग अपेक्षा लागू नहीं होती हैं।4. कोविड—19 महामारी के प्रकोप तथा उसके कारण भारत सरकार द्वारा घोषित किए गए लॉकडाउन के परिणामस्वरूप समूह के परिवालनों परप्रतिकूल प्रभाव हुआ है। पूर्व सावधानियां स्थापित करने के पश्चात परिवालन प्रारंभ कर दिए गए हैं। अनेक चुनौतियां सम्मुख होते हुए भी समूह केपरिवालन धीरे धीरे सामान्य गति प्राप्त रहे हैं। रिश्वति में निशार सुधार लाया जा रहा है तथा प्रकान समूह के वित्तीय एवं परिचालनात्मक निष्पादनपर इस महामारी से उत्पन्न हो सकने वाले किसी प्रकार के सामग्रीगत प्रभावों की निगरानी कर रहा है एवं स्थिति के अनुसार सुधार उपाय कर लिएजाएंगे। तदनुसार, पिछली तिमाही के दौरान कोविड—19 महामारी के कारण व्यावसायिक क्रियाकलाचें को प्रतिबंधित किए जाने के कारण से इसकीतुलना चालू तिमाही के परिणामों से नहीं की जा सकती है।5. सामाजिक सुरक्षा 2020 संहित (संहिती), जिसके संबंध में राष्ट्रपति की सहमति दिनाक 28 सितम्बर, 2020 को प्राप्त हो गई है, में कर्मचारी भविष्यनिधि एवं विविध प्रावधान अधिनियम, 1952 तथा उपदान अघिनियम, 1972 सहित सामाजिक सुरक्षा, सेवानिवृत्ति एवं कर्मधारी लाभ से संबंधित नौ नएकानून शामिल किए गए हैं। संहिता के लिए प्रमावी तिथि की अधिसूचना अभी नहीं हुई है तथा संबंधित नियमावली की रूपरेखा भी अभी निर्धारितनहीं की गई है । इससे होने वाले प्रमाव, यदि कोई हों, का मूल्यांकन किया जाएगा एवं सम्बद्ध प्राक्शनों की अधिसूचना के पश्चात स्वीकृति कर दी जाएगी ।6. सितम्बर, 2020 को समाप्त तिमाही के पश्चात धारक कम्पनी द्वारा संयुक्त खद्यम साझेदार गिल ऑस्टेम एलएलसी से ल्युमैक्स गिल-ऑस्टेम ऑटो टैक्नोलॉजी प्राइवेट लिमिटेड (इसके पश्चात ल्युमैक्स गिल-ऑस्टैम ऑटो टैक्नोलॉजी प्राइवेट लिमिटेड का नाम परिवर्तित करके ल्युमैक्समैट्टलिक्स प्राइवेट लिमिटेड कर दिया गया है) से संबंधित शेष अंशधारित प्राप्त कर ली गई है।7. दिनांक 17 जून, 2020 को निदेशक मंडल द्वारा 31 मार्च, 2020 को समाप्त विलीय वर्ष के लिए प्रति इक्विटी शेयर 1 रूपए की दर से अतिम लाभांशचुकता किए जाने की सिफारिश की गई है जिसके संबंध में दिनाक 28 अगस्त, 2020 को आयोजित वार्षिक आम सभा में शेयरधारकों का अनुमोदनप्राप्त कर लिया गया है। तदनुसार, 681.58 लाख रूपए की राशि का विनियोजन 30 सितम्बर, 2020 को समाप्त तिमाही के दौरान इक्विटीशेयरधारकों को किए गए वितरण के प्रति किया गया है।8. चालू तिमाही के दौरान, ल्युमैक्स एफएई टैक्नोलॉजी प्राइवेट लिमिटेड (सहायक कम्पनी) द्वारा 24 सितम्बर, 2020 से गुरूग्राम, हरियाणा में अपने				मदों के बाद)अवधि हेतु कुल व्याबाद) लाभ/ (हानि)बाद) से शामिल)इक्विटी शेयर पूंजीआरक्षित (पूर्व वर्ष केपुनमूल्यांकन आरक्षितोअल्य प्रति शेयर (सम)Hमूलःतरलःटिप्पणी: 30 सिताउपरोक्त विवरणदाखिल की गई ति!एक्सचैंजों की येवरerty.in पर उपलब30 सितम्बर, 2022020 को आयोजितने अ-संशोधित अइन वित्तीय परिणाम
