Shifting of Registered Office of the Company from Plot No. 70, Sector 10, PCNTDA, Bhosari, Pune - 411026, State of Maharashtra to 2[nd ] Floor, Harbhans Bhavan II, Commercial Complex, Nang al Raya, New Delhi - 110046 National Capital Territory of Delhi, subject to the approval of Shareholders by way of Postal Ballot, Central Government (Power delegated to Regional Director) and any other Regulatory Authority {ies) as may be necessary.

• b. Alteration of Clause II i.e. "Registered Office" of the Memorandum of Association of the Company in alignment with the applicable provisions of Companies Act, 2013, subject to the approval of Shareholders by way of Postal Ballot and other Regulatory Authority(ies) as may be necessary.
