Delisting of Lucas Bols shares will occur on 2 September 2024

Lucas Bols N.V. ("Lucas Bols" or the "Company") announces that, in connection with HollandsGlorie B.V. (an affiliate of Nolet Holding B.V.) ("Nolet") and Enix N.V. together holding more than 95% of the issued and outstanding shares in the Company (the "Shares") following completion of Nolet's recommended public offer (the "Public Offer") in February 2024, Euronext Amsterdam N.V. has consented to the delisting of the Shares from Euronext Amsterdam. Reference is made to section 6.13 (Consequences of the Offer for non-tendering Shareholders) of the offer memorandum relating to the Public Offer (the "Offer Memorandum") approved by the Dutch Authority for the Financial Markets (Autoriteit Financiële Markten) which was published on 12 December 2023.

Delisting shall occur on 2 September 2024 and, accordingly, the last trading day of the Shares shall be 30 August 2024.

Following the delisting, the articles of association of Lucas Bols will be amended (as set out in section 6.13.7 of the Offer Memorandum, and subsequently approved at the Extraordinary General Meeting held on 24 January 2024), whereby the Company will be converted from a public limited company (naamloze vennootschap) into a private limited liability company (besloten vennootschap).
