Cleansing Notice under Section 708a(5)(E) of the Corporations Act

LTR Pharma Limited ( ASX:LTP ) (“ LTR Pharma ”, “the Company ”), a company focused on improving men’s health through the clinical development and commercialisation of an innovative nasal spray treatment for Erectile Dysfunction, SPONTAN®, gives notice under section 708(A)(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act) regarding the issue of 27,173,914 fully paid ordinary shares (Shares) as detailed in the Appendix 2A released today to the ASX.

The Company states the following:

1. The Shares were issued on 16 December 2024 without disclosure to investors under part 6D.2 of the Corporations Act;

2. As at the date of this notice, the Company has complied with:

   • a. the provisions of Chapter 2M of the Corporations Act as they may apply to the Company; and

   • b. sections 674 and 674A of the Corporations Act; and

3. As at the date of this notice there is no information that is “excluded information” within the meaning of sections 708A(7) and 708A(8) of the Corporations Act.
