Pursuant to Regulation 30 of the SEBI LODR, we wish to inform you that Mr. Debashis Chatterjee (DIN:00823966), Chief Executive Officer & Managing Director whose term was until November 13, 2025, has opted retirement from his office due to personal reasons w.e.f. the close of business hours on May 30, 2025.

The Board of Directors at its meeting held today acceded to his request and placed on record their deep appreciation for his leadership in shaping the Company towards the growth curve and for his unwavering commitment and contributions.

Further, in the above meeting, the Board considered the recommendation of the Nomination & Remuneration Committee and approved the appointment of Mr. Venugopal Lambu (DIN: 08840898) as Chief Executive Officer & Managing Director w.e.f. May 31, 2025. Details pursuant to the extant SEBI requirements are enclosed as Annexure A.

Mr. Venugopal Lambu is not debarred from holding the office of Director by virtue of any order passed by SEBI / any other authority.

Mumbai, India – May 30, 2025: LTIMindtree [NSE: LTIM, BSE: 540005], a global technology consulting and digital solutions company, announced that Mr. Debashis Chatterjee has opted to retire due to personal reasons as the Chief Executive Officer & Managing Director of LTIMindtree at the end of its 29[th] AGM on May 30, 2025. The Board of Directors of LTIMindtree at its meeting held on May 30, 2025, has appointed Mr. Venu Lambu , currently the CEO Designate, as the Chief Executive Officer & Managing Director of LTIMindtree with effect from May 31, 2025. Mr. Debashis Chatterjee has been working closely with Mr. Venu Lambu to ensure a seamless leadership transition, facilitating continuity and strategic alignment as the company moves forward.

Mr. Debashis Chatterjee, affectionately known as "DC," served as CEO and MD of Mindtree from 2019 until its merger with L&T Infotech in November 2022, after which he led the newly formed LTIMindtree. Under his leadership, LTIMindtree became India's sixth-largest IT services firm by revenue, effectively integrating the strengths of both legacy organizations to enhance service offerings and drive innovation.

The LTIMindtree Board highly appreciated Mr. Debashis Chatterjee’s valuable contribution to the Company and acknowledged that his leadership and commitment led to the organization’s growth and success.
