PRIVATE PLACEMENT OF LOTUS BAKERIES SHARES: DISCLOSURE OF MAJOR HOLDINGS AND LOCK-UP

Today, following article 14, para. 1, and article 15 of the Law of 2 May 2007 on the disclosure of major holdings, Lotus Bakeries NV announces that it has received a transparency notification dated 29 September 2021.

Lotus Bakeries NV has received a transparency notification, dated 29 September 2021, revealing that, following a decertification and transfer of shares, Stichting Administratiekantoor van aandelen Lotus Bakeries ("STAK Lotus Bakeries") now holds – directly – 65.92% of the voting rights in the company. It has therefore crossed the shareholding threshold of 70%.

Lotus Bakeries NV is controlled by the STAK Lotus Bakeries (50% of the shares). STAK Lotus Bakeries is not controlled by any person or entity.

By means of this press release, Lotus Bakeries clarifies that the lock-up of 36 months mentioned in the announcement of the private placement published on 27 September 2021, applies to all depository receipt holders of the STAK Lotus Bakeries, as well as to the selling entities directly or indirectly controlled by these depository receipt holders or their shareholders. One of the selling entities, namely Holve NV, does not belong to the STAK Lotus Bakeries and is therefore not controlled by the depository receipt holders or their shareholders. However, Holve NV has consented to a lock-up aligned with that of Lotus Bakeries, at 180 Days.
