ASX ANNOUNCEMENT

LITHIUM AUSTRLIA’S (ASX: LIT) GRAPHITE ASSETS TO LIST ON ASX AS BLACKEARTH MINERALS (ASX: BEM)

Lithium Australia NL (ASX: LIT) advises that the spin-out of its graphite assets as BlackEarth Minerals NL (BEM) has received a conditional admission letter from ASX for the listing of BEM securities on the ASX. On listing, LIT will hold a strategic position of 18.10 % of the fully paid ordinary shares in BEM.

ASX advised it had considered BEM’s application and decided to admit BEM to the official list of ASX and to quote its securities, subject to the satisfaction of certain conditions precedent. BEM is currently working with the ASX to finalise all necessary documentation and completion of the required conditions precedent.

BEM confirms closure of the offer under the replacement prospectus dated 24 November 2017. BEM will provide further updates as to the issue of ordinary fully paid shares and partly paid shares. BEM can advise that it has received $5.455m from 658 applications for a total of 27,275,500 fully paid shares and 13,637,750 partly paid shares attached to the fully paid ordinary shares on a 1-for-2 basis. LIT and BEM will keep all shareholders informed about further material aspects including a listing date once final approval is given by the ASX.

LIT shareholders were offered a priority entitlement which was well supported.
