CLOSURE OF PRIORITY ISSUE

The Directors of Midwinter Resources NL are pleased to announce that the Priority Issue of Options offered pursuant to the Prospectus lodged on 22 September 2009 has closed.

The Company advises that the shortfall of the issue is 4,697,593 options. The Directors intend to place the shortfall in accordance with Section 3.7 of the Prospectus dated 22 September 2009.
