CLEANSING NOTICE

NOTICE PURSUANT TO PARAGRAPH 708A(5)(e) OF THE CORPORATIONS ACT 2001

This notice is given by Little Green Pharma Ltd ( ASX: LGP , “ LGP ” or the “ Company ”) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (“ Act ”).

The Company advises that on 17 August 2021 it applied for quotation of 2,713, 801 fully paid ordinary shares as detailed in the ASX announcement dated 17 August 2021.

LGP gives notice that:

1. the Shares were issued without disclosure under Part 6D.2 of the Corporations Act;

2. as at the date of this notice the Company has complied with:

   • i. the provision of Chapter 2M of the Corporations Act as they apply to the Company; and

   • ii. section 674 of the Corporations Act; and

3. as at the date of this notice there is no excluded information required to be disclosed under section 708A(6)(e) of the Corporations Act.

   • Notwithstanding this, LGP notes that in its ordinary course of business, it is continually working with prospective customers, potentially suppliers and targets on active proposal including supply, offtake and acquisition proposals, some of which may, in the future, prove to be material and potentially price sensitive. In the event that any such proposals become sufficiently certain or material enough to warrant disclosure to the market, the Company will comply with its disclosure obligations at that time.
