Board and Executive Changes

Gaming, esports, media and software company, Esports Mogul Limited (ASX:ESH) (“ Mogul ”), is pleased to advise that previously appointed non-executive Director Chris Bergstresser (ASX announcement 11 November 2021), has now been appointed as an Executive Director.

Chris is a senior entertainment executive with 30 years of experience founding, buying and building companies in the gaming and mobile sectors.

Most recently Chris was Group Chief Operating Officer of Enad Global 7, a Nasdaq First North listed, Swedish based, games company where he was responsible for building the expansion of the company, through a buy and build strategy (M&A investments) in video games.

As Executive Director Chris will leverage Mogul’s existing best in class tournament technology whilst also leading Mogul’s execution of buy and build strategy in the gaming sector.

Mogul also announces the resignation of its Chief Executive Officer, Mr Michael Rubinelli. Mr Rubinelli will be working through an orderly transfer, and once this is complete, Mr Rubinelli will depart Mogul.

Summary of Key Terms and Conditions of Employment

Position	The appointment is to the position of Executive Director of Esports Mogul Limited.
Commencement Date	15 December 2021
Term	The appointment will be for an initial 6 month term, which can be renewed for an additional agreed period between the parties by mutual written agreement.
Remuneration	Mr Bergstresser will be paid AU$10,000 per month in addition to his Director fees via the issue of 1,666,666 fully paid ordinary shares (deemed issue price of $0.006) in the Company per month (10,000,000 fully paid ordinary over the initial 6 month period of the Agreement). As a Director of the Company, the issue of the fully paid ordinary shares will require shareholder approval at a meeting of shareholders. It is envisaged the approval will be obtained at the Company’s Annual General Meeting to be held in late May 2022. If shareholder approval at a meeting of shareholders is not obtained, the compensation will be paid in cash.
Termination	The Company or Mr Bergstresser may terminate, without liability, for any reason, with or without cause, by giving 30 days advance written notice to the other party.
