Draft decisions of LITGRID AB ordinary general shareholders meeting

(company code 302564383, registered office address A. Juozapavičiaus g. 13,
Vilnius) has received a note from its main shareholder UAB EPSO-G, which holds
a 97.5% shareholding and vote. According to the note the general shareholders
meeting of LITGRID AB to be held on 24 April 2013 is offered:

1. to vote for the attached new wording of the articles of association of
   LITGRID AB.
2. to elect the following persons as members of the supervisory board of
   LITGRID AB:

-- Violeta Greičiuvienė (b. 1972), Head of the Strategic Project Division of
the Ministry of Energy of the Republic of Lithuania;
-- Audrius Misevičius (b. 1959), an advisor to Prime Minister, the Government
of the Republic of Lithuania;
-- Aleksandras Spruogis (b. 1963), Vice Minister of the Ministry of Energy of
the Republic of Lithuania.
