FEEDBACK AND PROPOSALS OF THE SUPERVISORY BOARD OF LITGRID AB CONCERNING THE 2014 ORDINARY GENERAL MEETING OF SHAREHOLDERS

13 March 2014, Vilnius

The Supervisory Board of Litgrid AB has read and examined the company's financial statements of 2013, the consolidated annual report of 2013 and the draft profit (loss) distribution of 2013, familiarised itself with the report presented by the independent auditor UAB Ernst & Young Baltic, and hereby submits the following proposals with regard to the Ordinary General Meeting of Shareholders of Litgrid AB:

• 1. To approve of the consolidated annual report of Litgrid AB of 2013;
• 1. To approve the financial statements of Litgrid AB of 2013;
• 1. To approve the profit (loss) distribution of Litgrid AB of 2013.
