OPINION ON A RELATED PARTY TRANSACTION

19 November 2018, Vilnius

The Audit Committee of EPSO-G UAB, having considered the information provided by TETAS UAB and acting pursuant to Article 37(2) of the Republic of Lithuania Law on Companies, provides its opinion on a transaction of buying of a part of business of Energetikos paslaugų ir rangos organizacija UAB, intended by and between TETAS UAB and Energetikos paslaugų ir rangos organizacija UAB (the 'Transaction'):

(i) The Transaction is an arm’s length transaction (the price of the Transaction does not exceed the market price determined in a valuation made by an independent expert and the market interest rate is applied);

(ii) The Transaction is fair and justified with respect to shareholders of LITGRID AB as the conclusion of the Transaction will have a positive impact on future financial results of TETAS UAB.
