UAB "EPSO-G" STEBETOJU TARYBOS ATSILIEPIMAI IR PASIŪLYMAI LITGRID AB EILINIAM VISUOTINIAM AKCININKŲ SUSIRINKIMUI

Atsižvelgiant į bei įvertinus pateiktas 2017-04-03 d. UAB "EPSO-G" audito komiteto išvadas, teiklame šiuos UAB "EPSO-G" stebėtojų tarybos atsiliepimus ir pasiūlymus 2017 m. balandžio 25 d. LITGRID AB eiliniam visuotiniam akcininkų susirinkimui:

• atsiliepimų ir (ar) pasiūlymų dėl LITGRID AB veiklos strategijos, metinių finansinių $1)$ ataskaitų rinkinio, pelno (nuostolių) paskirstymo projekto ir bendrovės metinio pranešimo UAB "EPSO-G" stebėtojų taryba neturi.
• Dél LITGRID AB valdybos ir vadovo sprendimų 2016 metais: $2)$
• a) rekomenduoti toliau tęsti valdybos ir vadovybės kompetencijos sričių išgryninimo procesą ir aiškiai atskirti šių valdymo organų funkcijas;
• b) rekomenduoti, kad būtų laikomasi naujos 2017-02-22 d. UAB "EPSO-G" valdybos sprendimu patvirtintos UAB "EPSO-G" darbuotojų atlygio politikos (2017-02-22 valdybos protokolas Nr. VLD-17-4) ir per 2017 m užtikrintas jos įgyvendinimas visose UAB "EPSO-G" įmonių grupės bendrovėse, kintamosios atlygio dalies išmokėjimą alškiai susiejant su bendrovių veiklos rezultatais;
• c) rekomenduoti UAB "EPSO-G" įmonių grupės valdyboms tęsti tobulinimą šiose 5 srityse: rizikų valdymo kompetencijos stiprinimas; posėdžių organizavimo efektyvinimas; energetikos sektoriaus išmanymo stiprinimas; organizacijos vystymo kompetencijos stiprinimas; kolegialių organų veiklos įsivertinimo sesijų tobulinimas.

EPSO-G UAB SUPERVISORY COUNCIL FEEDBACK AND PROPOSALS TO THE ANNUAL GENERAL MEETING OF SHAREHOLDERS OF LITGRID AB

Having regard to and considering conclusions of the Audit Committee of EPSO-G UAB submitted on 3 April 2017, the Supervisory Council of EPSO-G UAB is hereby presenting its feedback and proposals for the annual general meeting of shareholders of LITGRID AB to be held on 25 April 2017:

• 1) The Supervisory Council of EPSO-G UAB makes no comments and/or proposals regarding LITGRID AB's operating strategy, annual financial statements, profit/loss allocation project and the Annual Report;
• 2) Regarding decisions taken by LITGRID AB's Board and Chief Executive Officer in 2016:
• a) Recommends that the process of defining the remit of the Board and of the Company's management should be continued in order to achieve a clear separation of the functions of these management bodies;
• b) Recommends that the new EPSO-G UAB Employees' Remuneration Policy approved by decision of EPSO-G UAB's Board on 22/02/2017 (minutes of the meeting of the Board No VLD-17-4 of 22/02/2017) should be complied with and is implemented, during 2017, in all companies of EPSO-G UAB Group, clearly linking the payment of the variable part of remuneration to the companies' performance results;
• c) Recommends that the Boards of the companies forming EPSO-G UAB Group should continue improving the following 5 areas: building of risk management competencies; more efficient organisation of meetings; deepening knowledge of the energy sector; building organisational development competencies; and improving collegiate bodies' self-assessment sessions.
