LISI GROUP GRANTS EXCLUSIVE NEGOTIATION RIGHTS TO CICLAD GESTION TO ACQUIRE MANOIR AEROSPACE SUBSIDIARY PRECIMETAL

LISI AEROSPACE has received a binding offer from Ciclad Gestion to acquire 100% share ownership of Précimétal Fonderie de Précision (and indirectly its precision tooling subsidiary Précimétal Outillages de Précision); the company's main business activity is the manufacture of precision casting products, an industrial process based on lost-wax casting.

LISI AEROSPACE has in return granted exclusive negotiation rights to Ciclad Gestion.

Précimétal is a major industrial subcontractor in the aerospace components sector, specializing in lostwax casting, manufacturing components ranging from 1 g to 30 kg in small, medium and large-scale production, in all steel types including stainless steel and most copper, nickel and cobalt alloys. This business accounted for €14.4m of the LISI Group 2015 sales. Based in Seneffe, Belgium, the company has a workforce of 119 employees.

Ciclad Gestion is an independent private equity firm which specializes in business succession and growth financing. Since its inception in 1988, Ciclad Gestion has completed over 140 transactions and has since 2011 invested in its fifth fund, valued at €150m (www.ciclad.com).

The transaction is subject to regulatory approvals and other customary closing conditions.
