Publication of Supplementary Circular

Further to the announcements by Liontrust dated 13 June 2023, 9 June 2023 and 4 May 2023 in relation to the proposed acquisition of the entire issued share capital of GAM Holding AG ("GAM"), a global investment management group (the "Proposed Acquisition"), Liontrust announces that a supplementary circular in relation to the Proposed Acquisition (the "Supplementary Circular") was, on 23 June 2023, approved by the Financial Conduct Authority. The Supplementary Circular will be mailed to Liontrust shareholders shortly and uploaded on the National Storage Mechanism ("NSM").

The purpose of the Supplementary Circular is to provide Shareholders with the Group's financial results announcement RNS for the financial year ending 31 March 2023, published on 21 June 2023 (the "2023 Final Results") and GAM's unaudited interim results for the three months to 31 March 2023 which were published on 21 June 2023 (the "GAM Unaudited Interims").

Please note that there has been a minor update to one number in Note 4 of the notes to the financial statements section of the 2023 Final Results which contained a transposition error. The variable element of share incentivisation expense - all staff for the financial year ended 31 March 2023 has been corrected to 2,354 (from 2,534) and is therefore aligned with the total. This is reflected in the version of the 2023 Financial Results uploaded to the NSM and on the Liontrust website at https://www.liontrust.co.uk/gam-acquisition/documents.

The Supplementary Circular is supplemental to, and must be read in conjunction with, the circular dated 13 June 2023 previously sent to Liontrust shareholders and available on the Liontrust website at https://www.liontrust.co.uk/gam-acquisition/documents which provides notice of the General Meeting relating to the Proposed Acquisition to be held at 10:30 a.m. (BST) on 7 July 2023 at The Savoy Hotel, Strand, London, WC2R 0EZ (Pinafore Room).
