Share Issue – Section 708A Notice

Liontown Resources Limited (“ the Company ”) advises that in relation to the issue of 23,333,333 fully paid ordinary shares to Mr Tim Goyder in settlement of the outstanding loan facility of $350,000 on the 24 May 2016, and the share placement of 2,666,666 fully paid ordinary shares to Mr Craig Williams on 25 May 2016, the Company provides the following information in accordance with section 708A(6) of the Corporations Act (“ the Act ”):

• (a) the Issue was made without a disclosure document under Part 6D.2 of the Act;

• (b) this Notice is given under section 708A(5)(e) of the Act;

• (c) as at the date of this Notice, the Company has complied with the provisions of chapter 2M of the Act as they apply to the Company and section 674 of the Act;

• (d) as at the date of this Notice, there is no excluded information to be provided in accordance with section 708A(7) and (8) of the Act.
