LINK Mobility Group Holding ASA: Closing of Tismi B.V acquisition

LINK Mobility Group Holding ASA (LINK) announces today the closing of the acquisition of the Dutch CPaaS enabler Tismi B.V (Tismi).

Reference is made to stock exchange release on 12 February 2021 regarding the share purchase agreement related to the acquisition of Tismi.

Tismi provides virtual mobile phone numbers, smart traffic routing and signaling services and holds licensed operator status in 8 European countries.

The transaction values Tismi at an enterprise value of EUR 20 million. The purchase price has been settled partly by cash, sellers' credit and 1,226,637 new shares issued in LINK (the Consideration Shares) at a price of NOK 54.76 per share, equal to the average volume weighted price per share during the last 10 trading days up to and including the last trading day immediately preceding 12 February 2021. The Consideration Shares are subject to lock-up until 10 September 2021.

LINK will register the new share capital increase pertaining to the Consideration Shares with the Norwegian Register of Business Enterprises and issue a separate announcement when the registration of the share capital increase is completed.
