CHIUSURA DEL TERZO E ULTIMO PERIODO DI ESERCIZIO DEI "WARRANT LINDBERGH 2021-2024"

Pescarolo ed Uniti (CR), 20 dicembre 2024 - Lindbergh S.p.A. (EGM:LDB), Gruppo che offre servizi nei settori MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) ed Economia Circolare, comunica che si è concluso, in data odierna, il Terzo ed ultimo Periodo di Esercizio dei "Warrant Lindbergh 2021-2024", codice ISIN IT0005469207, ricompreso dal 5 dicembre fino al 20 dicembre 2024, termine iniziale e finale compresi.

Nel corso del Terzo Periodo di Esercizio sono stati esercitati n. 2.486.970 Warrant e conseguentemente sottoscritte, al prezzo di Euro 2,21 per azione (nel rapporto di n. 1 Azione di compendio per ogni n. 2Warrant esercitati), n. 1.243.485 Azioni ordinarie Lindbergh di nuova emissione, prive dell'indicazione del valore nominale, aventi godimento regolare e le medesime caratteristiche delle Azioni Ordinarie Lindbergh in circolazione alla data di emissione (le "Azioni di Compendio"), per un controvalore complessivo pari a Euro 2.748.101,85.

Ai sensi del Regolamento dei Warrant, le Azioni di Compendio sottoscritte dai titolari di Warrant durante il Periodo di Esercizio saranno rese disponibili per la negoziazione, per il tramite di Monte Titoli S.p.A., il giorno di liquidazione successivo al termine dell'ultimo giorno del relativo Periodo di Esercizio.

I Warrant per quali non è stata presentata la richiesta di sottoscrizione pari a n. 41.030 sono decaduti da ogni diritto, divenendo definitivamente privi di ogni effetto.

LINDBERGH S.p.A.: CLOSING OF THE THIRD AND FINAL EXERCISE PERIOD OF THE "LINDBERGH 2021-2024 WARRANTS"

Pescarolo ed Uniti (CR), 20 December 2024 - Lindbergh S.p.A. (EGM:LDB), an Italy-based Group primarily engaged in providing services for MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) and Circular Economy segments, hereby announces that the Third and Final Exercise Period of the "Lindbergh Warrants 2021-2024," ISIN code IT0005469207, encompassing December 5, 2024 through December 20, 2024, including the initial and final deadlines, ended today.

During the Third Exercise Period, 2.486.970 Warrants were exercised and consequently subscribed for, at the price of Euro 2,21 per share (in the ratio of no. 1 Conversion Share for every no. 2 Warrant held), n. 1.243.485 Lindbergh Ordinary Shares without the indication of par value, having regular dividend entitlement and the same characteristics as the Lindbergh Ordinary Shares outstanding on the date of issue (the "Conversion Shares"), for a total countervalue of Euro 2.748.101,85.

Pursuant to the Warrant Rules, the Conversion Shares subscribed by Warrant holders during the Exercise Period will be made available for trading, through Monte Titoli S.p.A., on the settlement day following the end of the last day of the relevant Exercise Period.

The 41.030 Warrants not exercised by the final deadline of the Third Exercise Period (December 20, 2024) will forfeit all rights, becoming extinct for all purposes.
