ACQUISITO IL RAMO DI AZIENDA DI SDS SERVICE SRL

L'acquisizione consolida la presenza di Lindbergh nel Waste Management e favorisce lo sviluppo di sinergie operative e commerciali

Pescarolo ed Uniti (CR), 13 novembre 2025 - Lindbergh S.p.A. (EGM:LDB), Gruppo che offre servizi nei settori MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) ed Economia Circolare, comunica di aver acquisito in data odierna un ramo d'azienda della società SDS Service Srl, realtà lombarda attiva principalmente nella provincia di Milano nei servizi di raccolta, trasporto ed avvio a recupero di rifiuti speciali.

Il ramo di azienda è composto da:

• Contratti attivi con i clienti;
• Contratti di servizio attivi con i fornitori;
• Dieci dipendenti (magazzinieri, autisti e personale amministrativo/commerciale);
• Automezzi e attrezzature funzionali allo svolgimento delle operazioni di raccolta e gestione rifiuti in impianto;
• Autorizzazione al deposito e trattamento dei rifiuti speciali, pericolosi e non pericolosi, rilasciata dalla Città Metropolitana di Milano, all'interno degli immobili in uso.

Al 31 dicembre 2024, le attività acquistate hanno generato ricavi pari a circa € 1,6 milioni, con un'EBITDA stimato di circa € 250.000, considerando anche le efficienze operative e la nuova organizzazione dell'attività che sarà da subito gestita direttamente all'interno della BU Waste Management/Circular Economy.

Il prezzo per l'acquisto del ramo d'azienda è pari ad € 1.200.000 (inclusivo dell'avviamento e di asset quali veicoli, impianti ed attrezzature), che verrà corrisposto come segue:

• € 450.000, versati per cassa in data odierna contestualmente all'atto di acquisto del ramo d'azienda;
• € 700.000, da corrispondere in 6 rate trimestrali (di cui le prime 5 da € 133.000 e l'ultima da € 35.000) da pagarsi entro il 30 Giugno 2027;
• Il T.F.R., stimato in circa € 50.000, sarà preso in carico da Lindbergh.

Inoltre, entro il 28 febbraio 2026, è previsto l'acquisto degli immobili attualmente in uso a SDS Service, la cui proprietà è riconducibile ai soci storici della stessa SDS Service. Su tali fabbricati insistono le autorizzazioni al recupero e gestione rifiuti rilasciate dalla Città Metropolitana di Milano e proprio per questo motivo è strategicamente indispensabile averne la proprietà. Il prezzo di acquisto degli asset immobiliari è stato fissato a € 550.000.

Andrea Allegrini, direttore della BU Waste Management/Circular Economy di Lindbergh, commenta così la nuova acquisizione: "L'operazione rappresenta un ulteriore passo nel consolidamento della business unit Waste Management/Circular Economy, contribuendo al rafforzamento dell'offerta e alla continuità dei servizi nel settore dell'economia circolare. L'integrazione delle attività di SDS Service favorirà lo sviluppo di sinergie operative e contribuirà a perseguire una maggiore efficienza gestionale anche rispetto alle attività storiche già gestite da Lindbergh".

L'Operazione non rientra tra le operazioni significative di cui all'art. 12 del Regolamento Emittenti Euronext Growth Milan.

ACQUISITION OF THE BUSINESS UNIT OF SDS SERVICE SRL

The acquisition strengthens Lindbergh's presence in Waste Management and supports the development of operational and industrial synergies

Pescarolo ed Uniti (CR), November 13th, 2025 - Lindbergh S.p.A. (EGM: LDB), a Group providing services in the MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, and Air Conditioning), and Circular Economy sectors, announces today the closing of the acquisition of the business unit of SDS Service Srl, a Lombardy-based company primarily operating in the province of Milan in the collection, transport, and recovery of industrial waste.

The business unit consists of:

• Active contracts with customers.
• Active service contracts with suppliers.
• Ten employees (warehouse staff, drivers and administrative/commercial staff).
• Vehicles and equipment used to carry out waste collection and management operations at the plant.
• Authorisation for the storage and treatment of special, hazardous and non-hazardous waste, issued by the Metropolitan City of Milan, within the buildings in use.

As of 31 December 2024, the acquired assets generated revenues of approximately €1.6 million, with an estimated EBITDA of approximately €250,000, also considering operational efficiencies and the new organisation of the business, which will be managed directly within the Waste Management/Circular Economy BU with immediate effect.

The purchase price for the business unit is €1,200,000 (including goodwill and assets such as vehicles, plant and equipment), which will be paid as follows:

• €450,000, paid in cash today, upon signing the deed of transfer of the business unit.
• €700,000, to be paid in six quarterly instalments (the first five of €133,000 and the last of €35,000) by 30 June 2027.
• The severance pay, estimated at approximately €50,000, will be covered by Lindbergh.

Furthermore, by 28 February 2026, the purchase of the properties currently used by SDS Service, owned by the long-standing shareholders of SDS Service, is planned. These buildings are subject to waste recovery and management authorisations issued by the Metropolitan

City of Milan, which is why it is strategically essential to own them. The purchase price of the real estate assets has been set at €550,000.

Andrea Allegrini, Director of the Circular Economy business unit, commented on the new acquisition: "This transaction represents a further step in consolidating the Waste Management/Circular Economy business unit, contributing to the strengthening of our service offering and ensuring continuity in the circular economy sector. The integration of SDS Service's activities will promote the development of operational synergies and contribute to greater management efficiency, including with regard to the historical activities already managed by Lindbergh".

The Transaction does not qualify as a significant transaction pursuant to Article 12 of the Euronext Growth Milan Issuers' Regulations.
